Position: Manager – Company Secretary (CS)
Department: Corporate Secretarial
Location: Head Office
Role Description
Lead the Secretarial & Corporate Governance team, act as the Company Secretary (KMP) of the organization, and ensure compliance with all applicable statutory and regulatory requirements. Anchor Corporate Governance initiatives, support IPO readiness, and oversee legal functions.
Impact of the Role
- Company Secretary of the organization and designated KMP as per Companies Act.
- Compliance Officer for SEBI.
- Anchor of Corporate Governance for the organization.
Key Responsibilities
- Lead the Secretarial & Corporate Governance team.
- Drive IPO readiness, and once initiated,
lead the IPO process from the Secretarial perspective, including post-IPO compliance and governance.
- Ensure secretarial compliance with Companies Act, SEBI, RBI, MCA, and other regulatory frameworks.
- Handle Secretarial and Compliance audits independently.
- Prepare and manage notices, agenda papers, resolutions, minutes of meetings, ROC filings, and related documentation.
- Manage listing of NCDs, Commercial Papers, Foreign Currency Bonds, etc. on stock exchanges.
- Review/prepare GID, KID, IM & other transaction documents for NCDs and borrowings.
- Oversee preparation of Annual Reports as per Companies Act, 2013.
- Maintain statutory records, registers, minutes, and corporate documents.
- Liaise with regulators, auditors, PCS, ROC, bankers, consultants, and other stakeholders.
- Monitor regulatory developments and ensure timely updates to management.
- Oversee legal department operations.

Candidate Profile
- Qualification: Company Secretary (CS)
- Experience: 10–15 years, with at least 3–4 years’ latest experience in a listed company (mandatory).
- Preferred: Experience in IPO execution or preparing an organization for IPO.
