The AVP - Debt Syndication & Private Equity Advisory is a senior-level role responsible for end-to-end deal origination, structuring, and execution across debt and equity mandates.

The incumbent will lead client engagements, drive fundraising efforts, manage banker and investor relationships, and mentor junior team members to deliver high-quality advisory outcomes.

KEY RESPONSIBILITIES :

DEBT SYNDICATION :

- Prepare Detailed Project Reports (DPRs) encompassing project analysis, location assessment, profitability and break-even analysis, SWOT, market and industry analysis, peer benchmarking, and overall project viability conclusions.

- Conduct comprehensive credit appraisals for fund-based facilities (Working Capital, Cash Credit, Overdraft, Term Loans) and non-fund-based facilities (Letters of Credit, Bank Guarantees).

- Review and critically analyse client financial information including financial statements, notes to accounts, income statements, tax returns, cash flow history, and existing debt obligations.

- Prepare high-quality Proposal Notes, Information Memoranda, and investor/banker presentations.

- Structure transactions by determining optimal debt quantum and product mix based on project requirements, balance sheet strength, promoter background, and available collateral.

- Initiate and manage simultaneous discussions with Banks, NBFCs, and financial institutions; evaluate and finalise the most suitable lender for each mandate.

- Meet bankers to present salient features of proposals, negotiate key terms (interest rate, processing fees, moratorium, pre-payment charges, bullet repayment, etc.), and obtain best-in-class deal terms for clients.





- Coordinate with DPR / Techno-Economic Viability (TEV) study consultants for timely preparation and finalisation of reports.

- Keep clients updated on transaction progress, discuss and obtain agreement on sanction terms, and oversee the disbursement process.

- Conduct and manage consortium meetings; monitor compliance with loan covenants on an ongoing basis.

- Coordinate with credit rating agencies to ensure external ratings meet investment grade requirements for all projects.

- Oversee security creation and fulfil all pre-reimbursement formalities.

- Liaise with Public Sector Banks, NBFCs, and Private Banks for debt syndication mandates.

- Stay current with RBI policies, banking regulations, and lender credit policies; disseminate knowledge to junior team members.

KEY RESPONSIBILITIES :

PRIVATE EQUITY ADVISORY:

- Build robust financial models for business valuation, IRR computation, NPV analysis, and scenario modelling.

- Prepare compelling pitch books and investor presentation materials tailored to PE / VC audiences.

- Identify, engage, and shortlist suitable Private Equity, Venture Capital, and Angel Investor prospects; manage the funnel through to term sheet stage.

- Lead negotiations with investors alongside promoters; finalise term sheets and secure allotment letters.





- Manage the end-to-end PE transaction process through to final disbursement in coordination with the PE partner.

- Conduct in-depth industry and peer analysis, and SWOT assessments for client businesses and their sectors.

- Build and deepen a strong network within the Angel Investor, Private Equity, and Venture Capital ecosystem.

TECHNICAL SKILLS & COMPETENCIES :

- Proficiency in building financial models for debt and equity fundraising transactions.

- Advanced skills in Microsoft Excel (financial modelling), PowerPoint (presentations), and Word (documentation).

- Strong understanding of the Indian and global debt markets, RBI monetary policy, and banking regulations.

- In-depth knowledge of the Private Equity ecosystem, venture capital dynamics, and deal structuring.

- Established network within the banking (PSB / Private / NBFC) and PE / VC / Angel investment community.

- Ability to manage and prioritise multiple mandates simultaneously; guide and delegate to junior team members effectively.

- Solid interpersonal and public relations skills to manage senior stakeholder, banker, and investor relationships.
