Key Responsibilities
Draft, review, negotiate, and manage a variety of commercial contracts, including NDAs, service agreements, vendor agreements, and customer contracts including high value contracts/ contracts having high risk exposure.
Review tenders/bids for government entities as well as public and private organizations across India. Coordinate with the Corporate Division in Germany on high-value and high-risk tenders requiring Board approval and manage all queries and documentation related to the approval process.
Identify legal, regulatory, and commercial risks in contractual arrangements and provide practical recommendations to mitigate them.
Support business teams during contract negotiations and ensure alignment with company policies and objectives.
Maintain contract repositories and track contract lifecycle activities, including renewals and amendments, through the in-house contract management system.
Collaborate with internal stakeholders, including Business Verticals, Procurement, Sales, Finance, Compliance, and Human Resources (HR) teams.
Ensure contracts comply with applicable laws, regulations, internal policies, and corporate governance requirements.
Assist in the development and periodic updating of contract templates, standard clauses, and standard operating procedures (SOPs).
Support dispute resolution activities and manage contract-related issues in a timely and effective manner.
Support the team to manage all types of litigation (Civil, Criminal, consumer, labour etc.) and coordinate for engaging external counsels PAN India.
