Role & responsibilities

Key Experience Required

The candidate should have practical exposure in:

1. Start-up Incorporation & Structuring

Handling incorporation of Private Limited Companies, LLPs and Section 8 Companies, including MOA, AOA, INC-20A, ADT-1, DIR-3 KYC and basic capital/shareholding structuring.

2. ROC & MCA Compliance

Preparation and filing of annual and event-based compliances including AOC-4, MGT-7/MGT-7A, PAS-3, SH-7, DIR forms, DPT-3, MSME-1, board/general meeting documentation, minutes, resolutions and statutory registers.

3. Funding & Investment Compliance

Experience in private placement, rights issue, preferential allotment, issue of equity shares, CCPS, CCD, OCD and related MCA filings including PAS-3, PAS-4, PAS-5 and MGT-14.

4. Agreement Drafting & Transaction Documentation

Drafting and review support for SHA, SSA, Term Sheets, CCD/CCPS/OCD Agreements, Founder Agreements, ESOP documents, Deed of Adherence and other start-up transaction documents.

5. Due Diligence & Start-up Advisory

Assisting in legal and secretarial due diligence,



preparing data rooms, reviewing MCA records/statutory documents, identifying compliance gaps and supporting start-ups during investor diligence.

6. Charge, Loan & Borrowing Compliance

Handling creation, modification and satisfaction of charge, CHG-1, CHG-4, loan/borrowing documentation and related board/shareholder approvals.

Preferred candidate profile

## Candidate Requirements

* Minimum 3 years of experience in ROC / Secretarial Compliance

* Experience in CA Firm / CS Firm

* Strong knowledge of Companies Act, 2013 and MCA compliance procedures

* Hands-on experience in ROC filings and company law matters

* Knowledge of statutory registrations and compliance procedures

* Positive drafting and documentation skills

* Proficiency in MCA portal, ROC filing tools and MS Office

* Ability to independently manage multiple client compliances

* Strong communication and client coordination skills
