ABOUT THE ROLE The Senior Manager - Exit Monitoring & Execution will be accountable for the entire exit lifecycle of portfolio companies including identifying and evaluating exit pathways, driving negotiations, managing investor alignment, and overseeing legal execution through to close. This is a high-ownership role where the expectation is for the individual to lead the process.
WHAT YOU WILL OWN
Source and qualify exit pathways for portfolio companies which could include - secondary buyers (VCs, PEs, IBs), strategic acquirers, and structured liquidity events.
Drive negotiations with founders, acquirers, and investment bankers to maximize exit valuation and minimize discount.
–Build and run exit return models (IRR, MOIC, scenario analysis), structure transaction economics across multiple scenarios, and prepare explicit recommendations on whether to proceed, defer, or negotiate for better terms – this could include detailed financial structuring work in Excel.
–Lead investor communication - prepare exit rationale materials, manage expectations, and obtain required consents from syndicated investors and AIF LPs
–Drive the full legal workstream - SPAs, secondary Transfer Agreements, NOCs, working alongside external counsel to close cleanly.
WHO WE ARE LOOKING FOR
–CA / CFA - Legal fluency is preferred.
–5-6 years of experience in Transaction Structuring & Advisory, M&A;/Corporate acquisitions, or a PE/VC fund with a track record of overseeing and executing transactions end-to-end.
–Deep familiarity with exit-related transaction documentation - SPAs, SHA amendments, and Secondary Transfer Agreements; with the ability to take full ownership of these documents and drive them to closure independently.
–Strong financial modelling skills - exit return analysis, valuation benchmarking, transaction structuring and scenario modelling.
–Strong analytical ability, should be able to assess portfolio company financials and performance data, draw clear inferences on business health and trajectory, and determine the appropriate course of action, including whether to initiate or accelerate an exit.
–Familiarity with the Indian VC/startup ecosystem, SEBI AIF regulations, and early-stage company dynamics.
–Adaptable and composed under pressure - this role operates in a fast-moving, deadline-driven environment which would require the ability to manage multiple live transactions simultaneously and stay organized under time constraints. Being able to make sound judgments with minimal supervision is non-negotiable.
