Role Overview: The Legal Counsel for Asset Co will provide comprehensive legal support and guidance across all aspects of the new function's operations.

Key Roles C Responsibilities: Contract Drafting, Review C Negotiation: Draft, review, and negotiate a wide range of commercial contracts, including Power Purchase Agreements (PPAs), Power Sale Agreements (PSAs), Engineering, Procurement, and Construction (EPC) contracts, Operation C Maintenance (OCM) agreements, land acquisition agreements, and vendor contracts. Provide expert legal advice on complex contract terms, risk mitigation strategies, and dispute resolution mechanisms for CCI and Utility segments, and Old WTG acquisitions. o Ensure all contracts comply with relevant laws, regulations, and company policies. -Regulatory Compliance C Approvals:



Provide legal guidance on compliance with all statutory requirements and regulations pertaining to renewable energy projects in India (e.g., environmental laws, land laws, electricity regulations, grid connectivity norms). Advise on obtaining necessary approvals and clearances from government agencies (e.g., REIA, Discoms, defence, revenue authorities) for construction and commissioning of projects.

Stay updated on changes in renewable energy policies and regulations. -Legal Due Diligence: Conduct thorough legal due diligence for potential recent projects, land acquisitions, and Old WTG acquisitions, identifying and assessing legal risks. Prepare legal due diligence reports and recommend mitigation strategies. -Risk Management: Identify and assess legal risks across all Asset Co operations and develop strategies to minimize exposure. Provide proactive legal advice to business teams on potential legal implications of their decisions.
