Manager – Legal | SaaS & IT ServicesLocation: Pune (Hinjewadi Phase III) | Hybrid (3 Days Office)Company: ConfidentialDepartment: Legal & ComplianceAbout the RoleOur Client is seeking an experienced and business-oriented Legal Manager to support and drive legal, compliance, contracting, governance, and risk management functions across its global SaaS, Digital Transformation, and IT Services business.This role requires a commercially minded legal professional with strong experience in technology contracting, data privacy, corporate governance, regulatory compliance, and stakeholder management. The ideal candidate will act as a trusted advisor to business leaders while ensuring legal and regulatory compliance across multiple jurisdictions.Experience in IT Services, Technology Services, SaaS, Software Products, or Digital Engineering organizations is mandatoryKey ResponsibilitiesCommercial Contracting & Legal AdvisoryLead drafting, review, negotiation, and execution of complex commercial agreements, including:Master Services Agreements (MSAs)Statements of Work (SOWs)SaaS AgreementsSoftware Licensing AgreementsData Processing Agreements (DPAs)NDAsVendor & Procurement ContractsPartnership & Alliance AgreementsCustomer ContractsPartner closely with Sales, Delivery, Procurement, HR, Finance, Product, and Information Security teams to enable business growth while managing legal risk.Provide practical, business-focused legal guidance on contractual, operational, and commercial matters.Compliance, Governance & Risk ManagementSupport and strengthen corporate governance frameworks and compliance programs.Ensure compliance with applicable laws and regulations,



including:GDPRHIPAAIndian Data Protection LawsIT ActInternational data privacy regulationsSupport compliance initiatives related to:ISO 27001ISO 27701Information Security & Privacy AuditsCustomer Compliance ReviewsConduct legal risk assessments and recommend mitigation strategies.Intellectual Property & Corporate LegalManage intellectual property matters including trademarks, copyrights, licensing, and IP protection initiatives.Support corporate legal activities, board documentation, policy development, and regulatory filings as required.Coordinate with external legal counsel across India, North America, Europe, and other jurisdictions.Contract Lifecycle & Process ManagementOwn end-to-end contract lifecycle management.Drive legal process improvements, automation initiatives, and CLM adoption.Maintain legal repositories, compliance trackers, governance dashboards, and management reporting.Establish legal best practices, templates, playbooks, and standard operating procedures.Leadership & Stakeholder ManagementAct as the primary legal business partner for key stakeholders.Mentor and guide junior legal professionals and contract specialists.Support strategic initiatives, M&A; due diligence, customer audits, and enterprise transformation programs as required.Mandatory RequirementsIT Services / SaaS Experience (Non-Negotiable)8–15 years of legal experience.Minimum 5+ years supporting IT Services, SaaS, Software Product, Digital Engineering, Technology Consulting, or Managed Services organizations.Demonstrated experience handling global technology contracts and commercial negotiations.Technology Contracting ExpertiseStrong experience independently negotiating and managing complex technology agreements.Understanding of software licensing,
