We are looking for a qualified and detail-oriented Corporate Secretarial Executive to manage corporate secretarial compliances and support corporate governance initiatives. The ideal candidate should have a solid understanding of the Companies Act, 2013, experience in handling secretarial matters independently, and excellent drafting and stakeholder management skills.
Key Responsibilities:
Manage end-to-end secretarial compliances under the Companies Act, 2013 and applicable Secretarial Standards.
Independently handle private placement processes for the issuance of securities by private companies.
Draft and prepare Board and Shareholder Notices, Agendas, Minutes, Circular Resolutions, and other meeting-related documents.
Facilitate alteration of the Articles of Association (AoA) and other corporate actions.
Prepare and file statutory forms with the Ministry of Corporate Affairs (MCA).
Coordinate with Registrars & Transfer Agents (RTA), Banks, Depositories, and Depository Participants for corporate actions.
Support equity and debt fundraising transactions, including review of Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), and Share Purchase Agreements (SPA).
Maintain statutory registers, compliance calendars, MIS reports, secretarial records, and trackers.
Administer and maintain ESOP documentation, policies, and related records.
Liaise with internal stakeholders, external advisors, auditors,
and regulatory authorities to ensure timely execution of corporate actions. Support annual secretarial compliances and contribute to strengthening corporate governance practices. Manage end-to-end secretarial compliances under the Companies Act, 2013 and applicable Secretarial Standards.
