Job description for Semi Qualified Company Secretary profile.

- Filing of various forms including XBRL to ROC with MCA portal;
- Should be well versed in various compliances of the Companies Act, 2013 and rule made thereunder;
- Must be aware of the Preparation of Agenda and Minutes of Board, Committee, and Shareholders Meetings;
- Drafting Board resolutions and letters related to the appointment and resignation of directors.
- Drafting of Notices & maintenance of Minutes for Board Meetings and General Meetings;
- Drafting of Joint Venture agreements, Letters of Intent, and Sale/ Conveyance deeds of Properties/Assets;
- Familiar with the Transfer & Transmission of Equity Shares and Drafting of Share Purchase Agreements;
- Knowledge of Increase of Authorized Share Capital & preparation of documents for the same;
- Preparation of all the papers for an increase in Paid-up Capital for allotment of shares & filling of form w.r.t. the same;
- Desirable in Drafting legal documents & filing of Petition with the RD, ROC, NCLT etc. under the Companies Act.




- Coordinating with Account Team, Banks, Lawyers and attending hearings on behalf of the Company;
- Knowledge of SEBI(LODR) Reg. 2015, SEBI(ICDR) Reg.2018, PIT Regulations, 2015
- Knowledge of RBI and FEMA regulations;

Preferred: -

- Male Candidate can apply.
- 1 to 4 years experience in proficiency of the secretarial responsibilities.
- Demonstrated ability to multi task and set priorities within tight timelines.
- Completed Executive level in Company Secretary.
- Valuable written and verbal communication skills, coupled with interpersonal skills.
- Communication skill in English Must.
