Role & responsibilities
AIF Documentation: Review and finalize fund documents (PPM, IMA, trust deed), liaise with internal/external counsel for current launches.
Transaction Review: Negotiate legal docs for equity/fixed income deals (term sheets, subscription agreements, debenture trust deeds, shareholder agreements). Assist in structuring transactions to mitigate risks.
Contract Negotiation: Draft/review vendor, service provider, distribution, NDA, and technology contracts. Provide legal advice on obligations and rights.
Regulatory Compliance: Ensure adherence to SEBI regulations governing equity/fixed income financing.
