Experience:
415 years of post-qualification experience (PQE) in Banking, NBFC, Financial Services, or a law firm handling BFSI-related matters.
Mandatory Experience
Experience in drafting or reviewing loan documentation, whether secured or unsecured, across lending products.
Preferred Experience (Not Mandatory)
Exposure to Supply Chain Finance documentation
Exposure to Co-lending structures and agreements
Required Qualifications & Skills
Working knowledge of:
Supply Chain Finance products
Loan and security documentation
Solid understanding of relevant laws including:
Companies Act
Indian Contract Act
Sale of Goods Act
Transfer of Property Act
Principles of Hypothecation
Insolvency and Bankruptcy Code (IBC)
SARFAESI Act
Understanding of RBI Master Directions applicable to NBFCs, outsourcing guidelines, and co-lending guidelines will be an advantage.
Excellent communication skills, attention to detail, and solid analytical ability.
Comfortable working with documentation systems and technology platforms.
Key Responsibilities
Review and vet legal documentation including:
Facility agreements (secured / unsecured)
Co-lending agreements and service level agreements (SLAs)
Hypothecation deeds, guarantees, demand promissory notes (DPNs), and non-disclosure agreements (NDAs)
Corporate authorizations, board resolutions, and ancillary documents
Review constitutional documents and authorizations for lending transactions.
Conduct legal research and track regulatory developments impacting NBFC and financial services operations.
Liaise with external legal counsel, law firms, and consultants for transaction and legal support.
Assist in maintaining legal documentation and records management systems.
