Ensure compliance with applicable corporate laws, rules, and regulations.
Prepare, convene, and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
Draft agendas, board papers, meeting notices, and minutes.
Maintain statutory registers, records, and corporate documents.
File statutory returns, annual reports, and regulatory forms within prescribed timelines.
Advise the Board and senior management on corporate governance, legal compliance, and regulatory matters.
Liaise with regulatory authorities, auditors, legal advisors, and government agencies.
Draft and review corporate resolutions, policies, agreements, and legal documentation.
Manage incorporation, alteration of corporate structure, share allotments, transfers,
and other secretarial matters.
Monitor changes in legislation and ensure organizational compliance.
Support internal audits and compliance reviews.
Maintain confidentiality of sensitive corporate information.
Assist in risk management and implementation of governance best practices.
Requirements
Qualified Company Secretary (Member of the Institute of Company Secretaries of India).
Bachelor's degree in Commerce, Law, Finance, or a related discipline.
LLB and/or additional qualifications in Corporate Law, Governance, or Compliance are desirable.
