Key Responsibilities
1. Statutory Finalization and Statutory Audit (Standalone and Consolidation)
- Lead monthly, quarterly, and annual financial closing processes.
- Ensure timely preparation and finalization of financial statements in compliance with applicable accounting standards and statutory requirements.
- Reconciliation of RPT transactions, balance confirmation and its coordination.
- Coordinate with statutory auditors and ensure smooth and timely completion of statutory audits.
- Prepare schedules, reconciliations, and audit documentation.
- Ensure compliance with Companies Act, Accounting Standards, and other applicable regulations.
- Calculate and pass year end closing entries and review general ledger entries, provisions, accruals, and financial reporting accuracy.
- Support management in preparation of MIS reports and financial analysis.
2. Direct and Indirect Taxes
- Review and ensure timely and accurate filing of Income Tax returns, GST returns, TDS returns, and other statutory compliances.
- Handle tax assessments, notices, departmental audits, and litigation matters.
- Monitor effectively GST input credit reconciliation and compliance processes.
- Coordinate and liaison with tax consultants and government authorities.
- Stay updated with changes in taxation laws and assess their impact on the business.
- Transfer pricing compliance, international taxation planning, compliance and execution.
3. Secretarial matters and MCA Compliance
- Ensure compliance with the provisions of the Companies Act, 2013 and other applicable corporate laws and regulations.
- Handle all ROC/MCA filings including annual filings, event-based filings, and statutory e-forms within prescribed timelines.
- Maintain and update statutory registers,
records, minutes books, and other secretarial documents as required under the Companies Act.
- Coordinate and support Board Meetings, Committee Meetings, and Shareholders' Meetings, including preparation of notices, agendas, resolutions, and minutes.
- Manage company incorporation, LLP registration, amendments, closure, and other corporate restructuring-related compliances.
- Monitor changes in corporate laws and MCA regulations and ensure timely implementation of compliance requirements across the organization.
4. Internal Audit and Controls
- Develop and strengthen internal financial controls and compliance frameworks.
- Coordinate and manage internal audits across functions and locations.
- Identify process gaps, financial risks, and control weaknesses and recommend corrective actions.
- Ensure implementation and monitoring of SOPs and internal control systems.
- Conduct periodic reviews of accounting processes, inventory controls, and operational compliance.
- Support risk management initiatives and compliance monitoring.
5. Banking and Treasury
- Monitor cash flow, working capital, fund utilization, and liquidity planning.
- Oversee payments, collections, and treasury transactions.
- Manage banking relationships and treasury operations. Ensure optimization of banking facilities and interest cost management.
Coordinate with banks for limits renewal, audits, and financial information requirements.
- Ensure compliance with applicable Reserve Bank of India (RBI) regulations, circulars, and reporting requirements related to banking and treasury operations.
- Monitor and ensure adherence to Foreign Exchange Management Act (FEMA) provisions, including foreign exchange transactions, overseas remittances, import export payments, external commercial borrowings (ECBs), foreign investments, and statutory filings.
- Liaise with authorized dealer banks, regulatory authorities, and consultants on FEMA and RBI compliance matters, ensuring timely submissions, approvals, and regulatory reporting.
Additional Responsibilities
In addition to the primary responsibilities outlined above, the incumbent shall be responsible for overseeing and ensuring timely execution of all accounting, taxation, secretarial, regulatory, statutory, and compliance-related activities pertaining to all entities within the Lambda Group, including its group companies, subsidiaries, associates, and trusts. The role shall involve coordinating with internal stakeholders, external consultants, auditors, regulatory authorities, and management to ensure adherence to applicable laws, regulations, and governance requirements across the Group.
Key Skills & Competencies
Solid expertise in regulatory and statutory compliance including FEMA, RBI, MCA, Companies Act, taxation, corporate governance, internal controls, risk management, and audit compliance, with proven experience in managing Board Meetings, Audit Committee Meetings, AGMs, EGMs, and regulatory reporting requirements.
