Role & responsibilities The role will be responsible for providing end-to-end legal support for the company's real estate transactions, strategic partnerships, joint ventures, commercial arrangements, and corporate documentation.

The ideal candidate should have strong experience in real estate transactions, contract drafting and negotiation, joint ventures, term sheets, offer documents, confidentiality arrangements, and transaction structuring, along with the ability to provide commercially practical legal advice.

Key Responsibilities

Transaction Structuring & Documentation

- Provide end-to-end legal support for real estate transactions, from initial commercial discussions through execution and closure.
- Draft, review, negotiate, and finalize a variety of real estate, corporate, and commercial agreements.
- Translate commercial requirements into legally robust and commercially practical documentation.
- Identify legal and contractual risks and recommend appropriate mitigation measures.

Joint Ventures & Strategic Transactions
- Draft and negotiate Joint Venture Agreements (JVAs), Shareholders' Agreements, Development Agreements, Investment Agreements, and related transaction documents.
- Advise on transaction structures, ownership and governance, capital contributions, profit/revenue sharing, rights and obligations, exit mechanisms, deadlock, default, and termination provisions.
- Support strategic partnerships with landowners, investors, developers, and other stakeholders.

Term Sheets & Commercial Documentation
- Draft and negotiate Term Sheets, MoUs, LOIs, Heads of Terms, and other preliminary transaction documents.
- Prepare and review Final Offer Letters and transaction-related documentation.




- Ensure that key commercial terms and agreed business principles are appropriately captured in definitive agreements.

Confidentiality & Disclosure
- Draft, review, and negotiate Non-Disclosure Agreements (NDAs), Confidentiality Agreements, Disclosure Agreements, and related documents.
- Ensure appropriate protection of confidential business, financial, property, and transaction-related information.

Contract Drafting & Negotiation
- Draft and negotiate agreements with a focus on protecting the company's legal and commercial interests.
- Review and negotiate key provisions including representations and warranties, indemnities, conditions precedent, limitation of liability, payment terms, termination, dispute resolution, confidentiality, and governing law.
- Ensure consistency across transaction documents and supporting agreements.

Transaction Execution & Advisory
- Coordinate with internal stakeholders, external counsel, counterparties, investors, landowners, and consultants for timely execution and closure of transactions.
- Review legal due diligence findings and incorporate appropriate contractual protections into transaction documents.
- Provide practical legal advice to business teams and senior management on transaction risks and proposed structures.
- Manage external legal counsel and ensure timely delivery of legal assignments.

Preferred candidate profile

- L.B. / LL.M. from a recognized university.
- 810 years of relevant experience in a real estate company, law firm, investment firm, infrastructure company, or corporate legal function.
- Solid experience in real estate transactions, corporate/commercial agreements, contract drafting, and negotiations.
