Role Overview

Orvera is hiring a senior, business-facing Legal Counsel to independently own commercial contracting and compliance for our SaaS/AI-enabled platform serving enterprise customers. This is a hands-on role for a commercially mature lawyer who can negotiate directly with enterprise counterparties, strengthen our contract templates and playbooks, build compliance readiness, and materially reduce day-to-day dependence on external law firms.

Key Responsibilities

Commercial contracting

) Draft, review, redline, and negotiate MSAs, SaaS subscription agreements, DPAs, BAAs, NDAs, SLAs, order forms, vendor/procurement agreements, and partner/reseller contracts.

) Own enterprise customer negotiations end-to-end, balancing legal risk against business priorities and deal-

closure timelines.

Templates & playbooks

) Build and maintain Orvera's contract templates and negotiation playbook fallback positions, approval thresholds, and escalation triggers.

) Cover IP ownership, license scope, data usage / AI-training rights, confidentiality, security obligations, liability caps, indemnities, audit rights, service levels, termination, and renewal.

Compliance & regulatory

) Support Orvera's compliance posture across data privacy (GDPR / CCPA / DPDP), TCPA / state mini-TCPA and related outbound-communication and call-compliance requirements,



and HIPAA/BAA obligations where applicable.

) Advise on AI/automation-related legal considerations, IP protection, limitation of liability, indemnity exposure, regulatory risk, and general SaaS compliance.

Cross-functional partnering

*) Partner with Sales, Security/InfoSec, Product, and Finance; manage and reduce external-counsel spend;

support diligence and data-room readiness as needed.

Required Qualifications

) 10+ years of relevant legal experience, a substantial portion in-house (or on secondment) at a SaaS platform company or a technology company selling SaaS/software to enterprise customers.

) Demonstrated ownership of enterprise SaaS contract negotiations a fluent in market-standard positions on

IP, licensing, data rights, liability caps, indemnities, audit rights, and SLAs.

) Practical exposure to data-privacy frameworks and at least one communication-compliance regime (TCPA /

state mini-TCPA strongly preferred).

) Commercial maturity: ability to negotiate independently, balance legal risk with deal velocity, and exercise judgment without escalating routine matters.

) Qualified lawyer (LLB / JD or equivalent) with active bar admission/enrolment as applicable.

Preferred Qualifications

) AI/automation legal exposure , model and data-usage terms, automated decisioning, AI-specific indemnities.

) Healthcare-adjacent contracting (BAA / HIPAA).

) rack record of insourcing legal work and reducing external-counsel dependency through in-house playbooks.

*) Exposure to US-facing enterprise contracting standards.
