Role Overview
We are looking to engage an experienced Corporate Lawyer on a retainer basis to serve as our legal counsel across private credit, structured finance, investment advisory, and financial services mandates. The role requires active participation in transaction discussions, client meetings, negotiations, and strategic decision-making, in addition to providing end-to-end legal drafting and regulatory support.
Key Responsibilities
- Draft object clauses for NBFCs, fintech companies, investment advisors, wealth management firms, AIFs, stock broking entities, and other regulated financial businesses.
- Draft, negotiate, and review legal documentation for debt syndication, secured lending, structured finance, private credit transactions, non-convertible debentures (NCDs), escrow arrangements, security creation, guarantees, and financing structures.
- Prepare and review commercial agreements including NDAs, NCAs, consultancy agreements, advisory agreements, engagement letters, service agreements, shareholder agreements, JV agreements, and strategic partnership agreements.
- Advise on legal and regulatory matters relating to NBFCs, Alternative Investment Funds (AIFs), SEBI-registered intermediaries, Investment Advisers, Portfolio Managers, stock broking entities, derivatives and capital market businesses, fintech companies, and other regulated financial services.
- Support incorporation, restructuring, licensing,
corporate governance, and regulatory filings for financial services businesses.
- Conduct legal due diligence, transaction documentation, and legal risk assessment for fundraising, investment transactions, mergers & acquisitions, and strategic partnerships.
- Represent the legal function in internal strategy discussions, client meetings, negotiations, and transaction calls, providing commercially sound legal advice throughout the deal lifecycle.
- Liaise with regulatory authorities, trustees, depositories, external counsel, and compliance professionals wherever required.
- Monitor developments under the Companies Act, RBI guidelines, SEBI Regulations, FEMA, PMLA, and other applicable laws impacting financial services businesses.
- Provide ongoing legal support to the investment, fundraising, and leadership teams on transactional, commercial, and regulatory matters.
Requirements
- Qualified Advocate (LLB/LLM) with a valid Bar Council registration.
- 4–7 years of relevant experience in corporate law, financial services, fintech, NBFCs, AIFs, investment advisory, capital markets, or structured finance.
- Strong expertise in drafting corporate and commercial agreements, financing documents, and transaction-related legal documentation.
- Working knowledge of RBI, SEBI, Companies Act, FEMA, and other applicable regulatory frameworks.
- Ability to work closely with business and investment teams, attend meetings as required, and provide practical, commercially driven legal advice.
