Job Summary
Company Secretary - Mumbai. Location: Mumbai. Role is on-site, full-time. Reports to General Manager Operations. Experience: 10 15 years as a qualified Company Secretary, preferably in industrial or project-based companies.
Industry Preference: Energy, Chemicals, Infrastructure, Manufacturing, or EPC.
About the Role
New Era Cleantech is leading the implementation of a high-impact coal-to-chemicals project focused on decarbonization, energy independence, and value-added industrial growth. With a capital outlay of billion and wide-ranging stakeholder involvement from central and state governments to international technology partners this project demands rigorous governance, compliance, and secretarial oversight. We are looking for an experienced and detail-oriented Company Secretary to manage all corporate secretarial responsibilities and ensure timely compliance with statutory and regulatory requirements. The ideal candidate will bring a strong understanding of Indian corporate law, board processes, and company governance particularly in a complex, multi-entity project setting.
Key Responsibilities
- Ensure compliance with all provisions under the Companies Act, 2013, SEBI regulations (if applicable), and other relevant statutory requirements.
- Organize and manage Board and General Meetings, including preparing agendas, drafting minutes, maintaining registers, and ensuring timely filings.
- Maintain and update statutory registers, resolutions, ROC filings, and company records across holding and subsidiary entities.
- Support execution of shareholder agreements, inter-corporate deposits, equity issuances, ESOP documentation, and JV/SPV structures.
- Coordinate with auditors, legal counsel, directors, and stakeholders to ensure timely disclosures and corporate approvals.
- Serve as the primary point of contact for Registrar of Companies (ROC), MCA, and other regulatory authorities.
- Ensure due diligence and documentation for investor-related transactions and financial compliance.
- Assist in drafting and reviewing board-level documents, notices, circular resolutions, and director communications.
- Stay updated with legal, regulatory, and governance best practices and ensure timely dissemination of policy changes to management.
Key Qualifications
- Qualified Company Secretary (CS) registered with the ICSI.
- 10 15 years of post-qualification experience, preferably in large corporates, infrastructure projects, or multi-entity structures.
- Strong understanding of corporate governance, regulatory filings, compliance reporting, and stakeholder coordination.
- Experience managing Board and shareholder matters in a growth-stage or capital-intensive company.
- Excellent written and verbal communication skills.
- Organized, detail-oriented, and capable of managing sensitive and confidential matters with discretion.
