An NBFC is hiring an AVP - Legal with hands-on transaction documentation experience in supply chain finance and co-lending.

Key responsibilities

- Draft, review, vet and negotiate Business Correspondent agreements, DSA agreements and related onboarding documentation
- Draft and review facility agreements, both secured and unsecured
- Handle co-lending agreements and service level agreements
- Prepare and review hypothecation deeds, guarantees, demand promissory notes and NDAs
- Handle corporate authorisations, resolutions and ancillary documents
- Review constitutional documents and authorisations for lending transactions
- Conduct legal research and track regulatory updates impacting NBFC operations
- Liaise with external counsel, law firms and consultants for transaction and legal support
- Maintain documentation systems and records





Mandatory hands-on experience: supply chain finance documentation, co-lending structures and agreements, bilateral loan and security documentation, and review of BC and DSA agreements. Legal knowledge required: Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of hypothecation, IBC and SARFAESI. Good understanding of RBI Master Directions for NBFCs, outsourcing guidelines and co-lending guidelines.

Candidate profile: 7-8+ years post-qualification experience in banking, NBFC or financial services with robust legal drafting, negotiation, research and analytical skills.
