The Assistant Manager – Compliance will support the Compliance Officer in ensuring adherence to applicable secretarial, statutory, and governance requirements under the Companies Act, 2013 and allied laws. The role will provide operational and administrative support for Board and Committee processes, statutory filings, maintenance of compliance records, and coordination for audit and regulatory requirements.

Position: Assistant Manager - Compliance

Location: Mumbai, Maharashtra, India.[Candidates should be open to future relocation/change in office location within the Mumbai Metropolitan Region (MMR).]

Employment Type: 3year contractual role and may be renewed for a period of every Two years basis performance and Management’s discretion.

Salary: Salary: The fixed CTC for this role will be up to 7LPA, plus up to a 20% variable component linked to annual performance. The final CTC offered will depend on interview performance, relevant experience, and skill set.

REQUIRED QUALIFICATIONS: -

Bachelor’s degree in commerce, Law or a related discipline from a recognized university.

CS Foundation examination cleared (ICSI) preferred or currently pursuing the CS Executive Programme.

Candidates with CS Executive cleared will have a distinct advantage. EXPERIENCE:

Minimum 1 or Maximum 3 years of relevant experience (excluding internship/trainee) in secretarial, statutory compliance, CSR compliances and corporate governance support functions.

Demonstrated experience in Board and Committee secretarial work, including preparation of agendas, minutes, and follow-up documentation.

Prior exposure to CSR compliance, governance documentation, or regulatory coordination is preferred.

Experience in a Foundation, Section 8 Company, or BFSI-linked entity will be an advantage. KEY RESPONSIBILITIES:

a) Secretarial & Statutory Compliance:



Assist the Compliance Officer in day-to-day secretarial and statutory compliance activities under the Companies Act, 2013 and allied laws

Support preparation and filing of statutory returns, disclosures, and reports with MCA and other regulatory authorities ensuring completeness and timeliness

Maintain statutory registers, records, and compliance trackers in an accurate and timely manner

Monitor changes in applicable laws, MCA circulars, and regulatory notifications and assess their impact on SBIF’s compliance obligations, and inform the Compliance Officer of the same. b) Board & Committee Support:

Assist in preparation, compilation, and circulation of agendas, notes, presentations, and papers for Board and Committee meetings

Support coordination for meetings, including tracking timelines and compliance requirements

Assist in drafting and finalisation of minutes and follow-up documentation

Maintain a comprehensive record of Board and Committee decisions, resolutions, and related documentation. c) Governance & Secretarial Standards:

Support adherence to applicable Secretarial Standards (SS-1 and SS-2) and internal governance frameworks

Assist in monitoring compliance with approved policies, procedures, and governance practices

Support the Compliance Officer in drafting, reviewing, and updating Board-approved policies and governance documents. d) CSR Compliance & Governance Support:

Assist the Compliance Officer in monitoring compliance with CSR provisions under Section 135 of the Companies Act, 2013 and the CSR Rules issued thereunder.

Assist in tracking CSR expenditure obligations, utilization, and carry-forward requirements, and flag any compliance gaps to the Compliance Officer

Coordinate with the Strategy & Growth Team and programme teams for collection and verification of CSR compliance data for governance reporting. e) Action Tracking & Reporting:

Track all action points arising from Board and Committee meetings and follow up with internal stakeholders for timely closure

Prepare periodic compliance status reports, governance updates, and dashboards for review by the Compliance Officer and Management. f) Audit & Regulatory Support:

Support audit preparedness, inspections, and regulatory reviews

Prepare responses to audit observations,



regulatory queries, and inspection findings, and support closure of open observations, for review by the Compliance Officer.

Maintain an audit-ready repository of statutory filings, registers, resolutions, and correspondence.

Additional Tasks: Perform any other duties assigned by SBI Foundation management. KNOWLEDGE AND SKILLS:

Sound working knowledge of the Companies Act, 2013, Secretarial Standards (SS-1 and SS-2), and MCA statutory filing requirements.

Familiarity with CSR provisions under Section 135 of the Companies Act, 2013 and related reporting requirements.

Proficiency in MS Office and basic compliance documentation tools.

Strong attention to detail and documentation accuracy with the ability to manage multiple compliance timelines independently.

Clear and professional written and verbal communication skills.

Ability to coordinate effectively with multiple internal stakeholders. Although the individual will work in a small team, it is essential that the chosen candidate can work in an independent manner to complete the given tasks in a time-bound manner.
