We are seeking an experienced and qualified Company Secretary (CS) to manage corporate compliance, secretarial functions, and governance matters. The role involves ensuring full adherence to statutory and regulatory requirements while providing strategic support to the Board of Directors on governance and compliance-related issues.
Key Responsibilities
Ensure compliance with the Companies Act, 2013, FEMA, SEBI regulations, and other relevant laws.
Organize, draft agendas, and prepare minutes for Board Meetings, AGMs, and EGMs.
Maintain and regularly update statutory registers, resolutions, and ROC filings.
Manage secretarial audits, coordinate with external consultants, and ensure timely submission of compliance reports.
File statutory returns, forms, and disclosures with MCA, RBI, and other regulatory authorities.
Support the Board in strengthening corporate governance, ethics, and compliance best practices.
Review, draft, and vet contracts, NDAs,
and commercial agreements in collaboration with legal teams.
Monitor regulatory updates and advise leadership on potential business implications.
Liaise with auditors, legal advisors, and government authorities on statutory matters.
Oversee compliance for group companies, subsidiaries, and international entities, if applicable.
Qualifications & Skills
Qualified Company Secretary (ICSI); LLB or legal qualification will be an added advantage.
3–8 years of post-qualification experience, ideally in manufacturing, pharma, or export-oriented industries.
In-depth understanding of Companies Act, FEMA, SEBI guidelines, CSR provisions, and related statutory requirements.
Solid drafting, communication, and stakeholder management capabilities.
High standards of integrity, confidentiality, and attention to detail.
Proficient in MCA portal, compliance software, and MS Office tools.
