Main Responsibilities and Duties:

The candidate is expected to carry out the following key responsibilities:

- Manage governance and statutory compliance activities, ensuring adherence to applicable laws, regulations, and institutional policies.
- Draft, review, and vet MoUs, contracts, agreements, non-disclosure agreements (NDAs), and other legal documents to safeguard the Institute’s interests.
- Provide secretarial support for the Governing Body, Executive Committee, Advisory Councils, and other governance forums, including preparation of agendas, minutes of meetings, and follow-up on action items.
- Maintain statutory records, governance documentation, compliance registers, and institutional records in an accurate and confidential manner.
- Coordinate with external legal counsel on legal opinions, contract negotiations, litigation (if any), and other legal matters.
- Monitor statutory and regulatory compliance timelines and ensure timely filing of returns, disclosures, and other regulatory documentation.
- Support the development, review, and implementation of governance policies, standard operating procedures (SOPs), and institutional compliance frameworks.
- Liaise with internal departments and external stakeholders to facilitate governance processes, legal documentation, and compliance-related activities.

Qualification, Experience and Demonstrated Skills:

- Qualified Company Secretary (ACS) with membership of the Institute of Company Secretaries of India (ICSI); B. from a recognized university is essential.
- 6–7 years of relevant post-qualification experience in governance, legal, secretarial, and statutory compliance functions.
- Experience in a not-for-profit organization (NPO), research institution, academic institution, Section 8 company, or a similar organization with strong governance and compliance requirements will be preferred.




- Demonstrated experience in drafting and reviewing legal agreements, preparing minutes of meetings, managing statutory compliances, and coordinating with legal counsel and regulatory authorities.

Compensation: A salary that is commensurate with market and experience of the right candidate.
