Job Description – Compliance (Debenture Trustee) | 3+ Years Experience

As part of the Compliance Team handling the Debenture Trustee vertical, the role involves managing end-to-end compliance, and monitoring of debenture transactions, liasoning with stock exchange, depositories, regulators.

Key Responsibilities

- Solid knowledge of corporate laws including Companies Act, 2013, Contract Act and SEBI regulations and circulars made thereunder.
- Ensuring compliance with Securities and Exchange Board of India (SEBI) Debenture Trustee Regulations, SARFAESI, and IBC.
- Creation and perfection of security (mortgage, hypothecation, etc.) and charge filings with ROC/CERSAI within regulatory timelines.
- Monitoring charged securities, financial covenants, and collateral coverage ratios
- Tracking issuer compliance including DRR, credit ratings, and financial performance (quarterly/half-yearly/yearly)




- Advising corporates on regulatory compliance and debenture issuance procedures
- Ensuring compliance with Information Memorandum, Prospectus, and debenture documentation
- Well versed with Distributed Ledger Technology (DLT) hosted by NSDL and undertaking due diligence.
- Coordinating with stakeholders
- Protecting investors’ and lenders’ interests throughout the transaction lifecycle
- Handling compliance aspects of debenture transactions
- Supporting internal and external audits
- Monitoring obligations imposed by Credit Rating Agencies and regulators
