Position Summary:
The Company Secretary shall be responsible for ensuring that Taparia Tools Limited complies with all applicable provisions of the Companies Act, 2013, SEBI Regulations (where applicable), Secretarial Standards, FEMA, Corporate Governance requirements, and other statutory and regulatory compliances. The incumbent will act as the principal advisor to the Board of Directors on corporate governance, legal and secretarial matters and will coordinate with various internal and external stakeholders.
Role & responsibilities
1. Board & Committee Management
Convene, coordinate and attend meetings of the Board of Directors, Committees and Shareholders.
Prepare agendas, notices, explanatory statements and Board papers.
Draft and maintain accurate Minutes of Board, Committee and General Meetings.
Ensure compliance with Secretarial Standards (SS-1 & SS-2).
Maintain statutory registers and records as prescribed under the Companies Act.
2. Corporate Secretarial Compliance
Ensure compliance with the Companies Act, 2013 and rules made thereunder.
File statutory returns, forms and disclosures with the Registrar of Companies (ROC) within prescribed timelines.
Maintain statutory books and records.
Monitor compliance calendars and regulatory due dates.
Ensure proper maintenance of corporate records and documentation.
3. Corporate Governance
Advise the Board on governance practices and statutory obligations.
Ensure implementation of sound corporate governance practices.
Assist the Board in policy formulation and regulatory compliance.
Monitor compliance with applicable Secretarial Standards and governance requirements.
4. Regulatory Compliance
Liaise with the Ministry of Corporate Affairs (MCA),
Registrar of Companies (ROC), Regional Director, National Company Law Tribunal (NCLT), and other regulatory authorities.
Coordinate inspections, notices and statutory correspondence.
Ensure timely filing of annual returns and financial statements.
5. Shareholder Services
Handle shareholder correspondence and investor-related matters.
Coordinate issue and transfer of shares wherever applicable.
Maintain shareholding records and coordinate with Registrar & Share Transfer Agent (if applicable).
Facilitate dividend-related compliances.
6. Legal Coordination
Coordinate with legal counsel on litigation, notices and legal documentation.
Vet agreements, contracts, MOUs and corporate documents from a legal compliance perspective.
Maintain repository of legal and corporate documents.
7. Corporate Policies
Draft and update company policies in accordance with statutory requirements.
Review delegated authorities and governance framework.
Ensure dissemination and implementation of approved policies.
8. Compliance Monitoring
Develop and maintain a comprehensive compliance management system.
Periodically review statutory compliance status across departments.
Submit compliance reports to senior management and the Board.
Identify compliance gaps and recommend corrective actions.
9. Secretarial Audit & Certifications
Coordinate Secretarial Audit and compliance certifications.
Facilitate statutory, internal and secretarial audits.
Ensure closure of audit observations within agreed timelines.
10. Corporate Restructuring & Special Projects
Assist in mergers, acquisitions, restructuring, capital restructuring and other strategic corporate initiatives.
Coordinate due diligence and statutory approvals.
Support implementation of Board-approved strategic initiatives.

Preferred candidate profile
Member of the Institute of Company Secretaries of India (ICSI).
LLB shall be preferred.
Additional qualification such as CA, CMA or MBA shall be an added advantage.
