Position Title: Company Secretary

Location : R&D; centre office, Hyderabad

Qualification :

- Qualified Company Secretary with valid membership from ICSI, New Delhi.
- Having additional qualifications such as LLB / LLM / other professional qualifications will be an added advantage but not mandatory.

Experience: About 2-4 years in an Unlisted Public Limited Company / Practicing CS firm where the candidate should have handled Unlisted Public Limited Company compliances under the supervision of the Partner.

Age Criteria: Preference will be given for candidates whose age is less than 30 years and for male candidate

Job responsibilities: The candidate will be responsible for

a) Handling Secretarial compliances of Unlisted Public Limited Company, compliances under FEMA and other corporate laws. Thorough knowledge of the Company law provisions is an essential requirement. b) Drafting / reviewing commercial contracts, support for bank loan documentation / investor related matters and assist the Board in handling corporate governance matters.

Must be willing to travel occasionally within India.

d) Should be enthusiastic in handling business operations, learning new concepts, taking up new work areas as may be required for the business of the company and other works as may be assigned by the management from time to time.

e) Should be pro-active in getting things done for successful execution of the job responsibilities.

Key Skills Required:

- Should be positive at communication and co-ordination with Board of Directors, Auditors, PCS firm, Bankers and external stake holders.
- Should have strong interpersonal skills and managerial ability to handle associates
- Good knowledge of Companies Act, 2013 along with the Rules notified by MCA and FEMA provisions
- Understanding of Secretarial Standards (SS-1 & SS-2) and its practical approach
- Familiarity with MCA portal and e-filings
- Strong drafting and documentation skills
- Proficiency in MS Office (Word, Excel)
