Executive Leadership – Multi-Format Pharmacy Retail & Wholesale

Role Summary

- The Chief Executive Officer (CEO) holds end-to-end accountability for the vision, strategy, consolidated profit & loss, and sustainable growth of the Company — a technology-enabled, multi-format pharmacy retail and wholesale enterprise. The mandate is to scale the Company’s omni-channel network — across franchise-operated (FOFO) and company-operated (COCO / FICO) stores and a rapid-delivery channel — into a leading multi-State player, in line with the Board-approved business plan and Annual Operating Plan(AOP).
- The CEO leads the senior management team, stewards the strategic master partnership with the parent Group on an arm’s-length basis, embeds robust multi-State regulatory compliance, builds an institutional organisation and governance framework, and steers the enterprise toward long-term value creation and IPO-readiness.
- The role requires a proven senior leader with 15–20 years of experience scaling multi-unit retail, pharmacy /healthcare, FMCG distribution, or franchise networks, with full P&L; ownership at scale.

Key Responsibilities

1. Strategy, Vision & Corporate Direction

- Set, articulate, and cascade the Company’s vision, long-term strategy, and Annual Operating Plan, within the framework approved by the Board.
- Own the multi-format, multi-State expansion roadmap — sequencing franchise (FOFO) cluster growth, company-operated (COCO / FICO) anchor-store rollout, and rapid-delivery coverage.
- Translate strategy into measurable objectives, operating priorities, and resource allocation across all functions.
- Continuously evaluate market, competitive, regulatory, and technology trends; recommend strategic pivots, new-geography entry, and inorganic opportunities to the Board.

2. Financial Stewardship & P&L; Ownership

- Hold end-to-end accountability for the consolidated P&L;, unit economics, and financial health across all revenue engines (wholesale, rapid delivery, retail-media, fintech commission, and company operated retail).
- Drive revenue growth, margin discipline, cost efficiency, and working-capital management in line with the Board-approved budget and AOP.
- Lead capital planning and fundraising; ensure prudent capital allocation, runway management,



and return on invested capital.
- Safeguard the integrity of financial reporting, internal controls, and treasury, in coordination with the Finance function and the Audit Committee.

3. Network Growth & Operating Performance

- Drive franchise-acquisition velocity, store-network density, and the company-operated anchor-store programme, while protecting store-level economics.
- Uphold the Company’s service promises — including new-store go-live timelines and the rapid delivery standard — and the operational excellence that underpins them.
- Oversee the procurement-to-supply-chain backbone to ensure availability, fill-rates, cold-chain integrity, and landed-cost competitiveness.
- Institutionalize SOPs, dashboards, and review cadences that keep multi-State operations consistent, compliant, and scalable.

4. Group Partnership & Related-Party Governance

- Steward the strategic master partnership with the parent Group ecosystem so that it delivers value on commercial merit.
- Enforce transparent, arm’s-length related-party governance — including the open multi-quote procurement policy — and ensure all related-party dealings are placed before the Audit Committee / Board.

5. Organization, Talent, Culture & Succession

- Build, lead, and develop the senior management team; set performance standards, accountabilities, and incentive structures.
- Define and embed company culture, values, and ways of working; champion the talent pipeline and the training academy.
- Own organization design, capability-building, and succession planning for critical roles.

6. Governance, Risk, Compliance & IPO-Readiness

- Establish and maintain Board and committee cadence; ensure timely, accurate Board reporting.
- Ensure full compliance with applicable law — including the Drugs and Cosmetics Act,Pharmacy Act, DPCO / NPPA, GST, Companies Act 2013, and anti-bribery legislation.
- Drive the IPO-readiness agenda on the Board-approved timeline.

7. Stakeholder, Investor & External Relations

- Represent the Company to investors, lenders,



and IPO advisors; lead investor relations and capital markets readiness.
- Engage State Drugs Control Administrations, regulators, and industry bodies; manage franchise partners and strategic alliances.
- Authority Matrix

The Chief Executive Officer shall have authority for:

- Owning and approving the Annual Operating Plan and consolidated budget within the Board approved strategy.
- Appointing and evaluating the senior management team.
- Approving operating and capital expenditure within Board-delegated limits.
- Signing operational agreements, vendor onboarding, and franchise arrangements within delegated authority.
- Representing the Company before regulators, partners, and investors.
- Reserved to / requiring higher approval: corporate strategy and major capital decisions, fundraising and the IPO decision, mergers and acquisitions, Group master-agreement terms and related-party pricing (via the Audit Committee), and dividend / financial-policy decisions (→ Board).

Experience Requirement

- Minimum 15–20 years of senior leadership experience with full P&L; ownership at scale.
- Significant experience scaling multi-unit retail, pharmacy / healthcare, FMCG distribution, or franchise networks.
- Supply-chain and digital-commerce exposure; fundraising and / or IPO experience a strong advantage.
- Working knowledge of Indian pharmacy-retail regulation (Drugs and Cosmetics Act; DPCO / NPPA; Pharmacy Act) and Companies Act, 2013.
- Postgraduate qualification in Management, Pharmacy, or Commerce (MBA strongly preferred).
