Key Responsibilities Anti-Corruption and Anti-Bribery

Owning and enforcing the Company's Anti-Corruption and Anti-Bribery Policy (THX-ACB-004) across all operations, with particular focus on the Nigerian energy sector joint ventures, equipment procurement, and site operations.

Conducting or overseeing anti-corruption due diligence on all JV partners, contractors, suppliers, agents, and intermediaries operating in or connected to the Company's Nigerian operations.

Maintaining the gifts, hospitality, and facilitation payments register and ensuring all personnel understand the Company's zero-tolerance position on bribery and facilitation payments.

Advising the CEO and Board on corruption risk in recent markets, partnerships, or procurement relationships before the Company enters into commitments.

Investor

Onboarding and Screening

Overseeing the KYC and due diligence process for all investors entering the Company's SPV structures, including collection, review, and approval of KYC documentation packs (F01 through F08).

Conducting and certifying sanctions screening of all prospective investors against OFAC, UN, EU, UK OFSI, UAE, and Nigeria NFIU/CBN designated persons and restricted entities lists prior to acceptance.

Approving Simplified Due Diligence determinations, identifying and escalating PEP relationships for CEO approval and Board reporting, and determining when Enhanced Due Diligence is required.

Overseeing quarterly re-screening of all existing investors and counterparties and approving the disposition of any matches. Counterparty and JV Partner Due Diligence

Conducting or overseeing compliance due diligence on all counterparties, JV partners, service providers, hardware suppliers, and other third parties with whom the Company has a material commercial relationship.

Assessing and documenting counterparty risk using the Company's risk rating framework and maintaining the counterparty risk register.

Coordinating with the Company's legal counsel on compliance aspects of JV agreements, procurement contracts, and service provider engagements.

Sanctions

Compliance

Maintaining and operating the Company's sanctions compliance programme in accordance with the Sanctions Screening Policy (THX-SAN-005), covering investor screening, counterparty screening, and JV partner screening.

Monitoring changes to applicable sanctions regimes and advising the CEO and Board on any impact to the Company's operations, partnerships, or investor base.

Ensuring the Company's BTC liquidation procedures (sale on exchange) are conducted through compliant,



regulated exchanges and that the Company's exchange accounts and treasury operations do not expose it to sanctions risk.

Corporate

Governance and Board Reporting

Producing quarterly compliance reports to the Board of Directors covering the status of the compliance programme, screening activity, anti-corruption matters, regulatory developments, and any material compliance incidents or findings.

Supporting the Company's corporate secretarial functions across all three jurisdictions, including statutory filings, register maintenance, and entity-level compliance.

Advising the Board on compliance risk, related-party transactions, and conflicts of interest as they arise.

Policy

Framework and Regulatory Monitoring

Maintaining and updating the Company's compliance policy suite (THX-AML-001 through THX-KYC-006) on at least an annual basis, or more frequently following material changes to applicable law, the Company's business model, or its geographic footprint.

Monitoring regulatory developments across all operating jurisdictions relevant to the Company's activities, including digital asset mining regulation, energy sector regulation, foreign investment rules, and corporate governance requirements, and advising the CEO and Board on required changes.

Conducting or commissioning the Company's annual compliance risk assessment and maintaining the enterprise risk register (THX-ERM-003). Training

Delivering compliance training to all directors, officers, employees, and contractors, covering anti-corruption and anti-bribery, sanctions awareness, KYC obligations, and the Company's whistleblower and non-retaliation framework.

Delivering targeted training to personnel in elevated risk exposure roles, including those involved in Nigerian site operations, procurement, investor relations, and treasury. Audit and Regulatory Response

Preparing for and responding to regulatory requests, inquiries, examinations, and audits from competent authorities in any operating jurisdiction.

Coordinating with the Company's institutional service providers (including global auditors and legal counsel) on compliance matters, audit requests, and regulatory filings.

Advising on compliance documentation standards, retention practices, and recordkeeping requirements.

Certification and Execution

Certifying and executing documents as the Company's Chief Compliance and Controls Officer, including investor screening certifications, annual policy approvals, regulatory filings, and Board compliance reports.

Qualifications and requirements

Qualified lawyer or compliance professional with a minimum of 5 to 8 years of experience in compliance, regulatory affairs, or risk management, with at least 2 years in a senior or leadership compliance role.

Experience with anti-corruption and anti-bribery compliance, ideally in the energy, extractives,



or infrastructure sectors operating in emerging markets.

Working knowledge of sanctions screening across multiple lists (OFAC, UN, EU, UK OFSI) and practical experience with KYC/CDD processes for private capital raises or fund structures.

Familiarity with multi-jurisdictional regulatory environments.

Experience with any combination of Nigerian, UAE/ADGM, or US regulatory frameworks is an advantage.

Experience with or exposure to the digital asset sector is an advantage but not required. The core compliance skill set is anti-corruption, sanctions, and investor due diligence, not VASP regulation.

Experience producing Board-level compliance reports and engaging with Boards on compliance and governance matters.

Experience coordinating with external auditors, legal counsel, and regulators.

Excellent written and spoken English with the ability to produce precise compliance documentation.

ICA Diploma in Governance, Risk and Compliance, ACAMS CAMS, or equivalent professional qualification is an advantage.

Comfortable operating in a fully remote, multi-jurisdictional environment across UK, West Africa, and Gulf time zones.
