Ezy Laws, a rapidly growing boutique corporate law firm based in Mumbai with strong expertise in Insolvency & Bankruptcy (NCLT/NCLAT), Alternative Investment Funds (AIF/PE), Litigation Funding, and complex corporate transactions, is looking for a motivated and detail-oriented Associate/Sr. Associate – Compliance & Legal with 2–7 years of relevant experience.

The role will primarily involve supporting Compliance & Investment Committee processes for SEBI-registered AIFs , handling end-to-end corporate secretarial and compliance functions for Private Limited Companies and LLPs, assisting in high-stakes Committee of Creditors (CoC) meetings under the Insolvency and Bankruptcy Code, 2016, , drafting and vetting of key legal agreements, conducting legal & secretarial due diligence, and performing in-depth legal research.

Key Responsibilities

A. Secretarial Functions

Board, Shareholders & Committee Meetings (Companies & LLPs)

- Plan, convene, and conduct Board Meetings, Audit Committee / other Committee Meetings, and Shareholders’ Meetings (AGM/EGM) for Private Limited Companies in strict compliance with the Companies Act, 2013, Secretarial Standards (SS-1 & SS-2), and the company’s Articles of Association.
- Handle all pre-meeting formalities including preparation and dispatch of notices, detailed agendas, explanatory statements, and relevant background papers within statutory timelines.
- Coordinate with Directors, Key Managerial Personnel (KMPs) & other stakeholders; manage logistics for physical, VC or hybrid meetings; ensure proper quorum and procedural compliance during meetings.
- Drafting of Directors report and other documents under Companies Act.
- Draft accurate, comprehensive, and legally robust minutes of meetings, resolutions (ordinary/special), and maintain proper records in the Minutes Book and other statutory registers.
- Manage post-meeting compliances including filing of necessary e-forms with the Registrar of Companies (ROC) / MCA (e.g., MGT-14 for special resolutions, INC-22 for registered office changes, etc.).
- All Secretarial functions regarding issue and allotment of securities and other corporate events

Committee of Creditors (CoC) Meetings under IBC, 2016

- Assist Insolvency Professionals (IRPs/RPs) & the firm’s IBC team in organizing and conducting CoC meetings during Corporate Insolvency Resolution Process (CIRP) and Liquidation proceedings.
- Prepare notices, agendas, voting papers, information memoranda extracts, and other meeting materials in accordance with IBBI (Insolvency Resolution Process for Corporate Persons) Regulations, 2016.
- Ensure compliance with procedural requirements for e-voting, physical voting, quorum, and recording of minutes; assist in preparation of CoC voting outcome reports and related NCLT filings.




- Maintain complete records of all CoC meetings, decisions & correspondence as per IBBI record-keeping requirements.

Investment Committee (IC) Meetings under AIF Regulations

- Support the AIF practice team in convening & conducting Investment Committee meetings for SEBI-registered Category I / II AIFs managed or advised by the firm’s clients or affiliates.
- Assist in preparation of IC meeting notices, detailed investment memoranda / deal notes, conflict disclosures, and minutes in line with the Fund’s Private Placement Memorandum (PPM), Trust Deed / LLP Agreement, and SEBI (AIF) Regulations, 2012.
- Ensure proper documentation of investment decisions, related-party transaction approvals, valuation-related discussions, and investor reporting triggers arising from IC decisions.

Statutory Filings & Record Maintenance

- Assist in timely filing of various statutory forms, returns, and intimations with the Registrar of Companies (RoC), Ministry of Corporate Affairs (MCA – MCA V3 portal), Insolvency and Bankruptcy Board of India (IBBI), SEBI, and other regulatory authorities.
- Handle annual compliances including preparation and filing of Annual Return (MGT-7/MGT-7A), Financial Statements (AOC-4/AOC-4 XBRL), Auditor’s Report (ADT-1/ADT-3), and other event-based filings (INC-20A, PAS-3, SH-4, etc.).
- Maintain and update all statutory registers (Register of Members, Directors, Key Managerial Personnel, Related Party Transactions, Beneficial Owners, etc.) and ensure proper custody and inspection readiness.

B. Compliance Functions

Corporate Compliance – Companies & LLPs

- Ensure ongoing compliance of client Private Limited Companies and LLPs with the Companies Act, 2013, Limited Liability Partnership Act, 2008, and rules made thereunder, including corporate governance requirements, Related Party Transaction (RPT) approvals under Section 188, CSR compliance (where applicable), and maintenance of required policies.
- Prepare and monitor compliance calendars; proactively track statutory due dates and send timely reminders to clients and internal teams to avoid defaults, penalties, or disqualification of directors.
- Conduct periodic compliance health-checks / secretarial audits and prepare detailed compliance status reports with gap analysis and actionable recommendations.

IBBI / IBC Compliance

- Support the firm’s IBC team and Insolvency Professionals in ensuring full compliance with the Insolvency and Bankruptcy Code, 2016, IBBI (Insolvency Professionals) Regulations, 2016, and CIRP / Liquidation Regulations throughout the insolvency process.
- Assist in preparation of compliance checklists, periodic reports to IBBI, filings before NCLT/NCLAT, public announcements,



claim collation support, and Monitoring Committee / CoC compliances.
- Ensure proper documentation & preservation of all records as required by IBBI record retention requirements.

AIF / SEBI Regulatory Compliance

- To act as Compliance officer and ensure compliance by AIFs (Category I, II) with SEBI (Alternative Investment Funds) Regulations, 2012, SEBI circulars, and the specific requirements of the Fund’s PPM, Investment Management Agreement, and Trust Deed / LLP Agreement.
- Assist in SEBI registration / renewal processes, periodic reporting (quarterly portfolio disclosures, half-yearly/annual reports to SEBI and investors), valuation compliance, investor grievance handling, and conflict-of-interest management.
- Support compliance with SEBI’s requirements on related party transactions, preferential treatment, and disclosure norms applicable to AIFs.

LODR & Other SEBI Regulations Compliance

- Where clients have listed equity or debt securities (or are in the process of listing), assist in ensuring compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – including preparation of Corporate Governance Report, Board’s Report disclosures, Reg. 30 event disclosures, related party disclosures, and filings with Stock Exchanges.
- Support compliance under SEBI (Prohibition of Insider Trading) Regulations, 2015 – including maintenance of Structured Digital Database (SDD), Designated Person disclosures, and trading window management – where applicable to clients or the firm’s internal mandates.

C. Corporate Legal Functions

Drafting, Vetting & Review of Legal Documents

- Assist senior lawyers in drafting, reviewing, and vetting a wide range of commercial and corporate legal agreements including Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), DRHP, PPM,JV Agreements, Non-Disclosure Agreements (NDA), Powers of Attorney (POA), Master Services Agreements, Term Sheets, and ancillary transaction documents.
- Draft board/ shareholder resolutions, corporate authorizations, amendment agreements, and other operative documents in connection with investments, financing, restructuring, and corporate actions.
- Review and provide comments on documents received from counterparties; prepare redline versions and negotiation summaries for Partner review.

Legal & Secretarial Due Diligence

- Conduct legal and secretarial due diligence for IPOs , Bond Issues, M&A; transactions, private equity / venture capital investments, debt financing, restructuring transactions, and regulatory filings.
- Review target company / LLP records including constitutional documents, statutory registers, MCA filings history, board/shareholder meeting minutes, material contracts, litigation status, regulatory approvals, and compliance track record.

Prepare comprehensive due diligence reports highlighting key risks, red flags, compliance gaps, and recommendations; present findings to senior team members and clients
