Role: Sr.VP/VP/AVP/Sr.Manager (Execution) ECM-MerchantBanking

Role Brief:

This role is responsible for managing the complete execution of ECM– Merchant Banking transactions from mandate to listing. The individual will handle regulatory documentation, coordinate with multiple stakeholders, and ensure that all activities are completed within defined timelines. A strong understanding of SEBI regulations, documentation processes, and transaction structuring is essential.

The role requires close interaction with legal advisors, auditors, stock exchanges, and internal teams to ensure smooth deal progress. Attention to detail, ownership, and execution discipline are critical for success in this role.

Role Responsibilities:

- Execution Leadership: Lead the end-to-end ECM transaction life-cycle, ensuring seamless execution from mandate to listing for main board, IPO & secondary fund raising.
- Drafting & Strategy: Drive drafting strategy for offer documents, emphasizing disclosure integrity and complex regulatory structuring.
- Regulatory Liaison: Spearhead SEBI and exchange interactions,



interpreting technical circulars to secure critical deal clearances.
- Due Diligence Oversight: Oversee multi-disciplinary due diligence while serving as the primary lead for C-suite stakeholders.
- Team Management: Mentor execution teams, optimize resource allocation, and uphold gold-standard institutional quality controls.
- Deal Integration: Advise on deal feasibility during origination and supervise all pre-issue and post-issue work-streams.

Role Requirements:

- 5+yearsof hands-on ECM execution experience, across main board, QIP, Preferential allotment, open Offer etc.
- Strong SEBI process and documentation knowledge
- Open to travel to client location
- Prior leadership experience in merchant banking preferred
- High ownership, detail orientation, team handling & execution discipline
- Excellent stakeholder management and negotiation skills
- High maturity in handling regulatory escalations
