- Corporate Governance: Schedule and manage Board of Directors and shareholder meetings, prepare detailed agendas, and record official minutes.
- Statutory Compliance: File annual returns, financial statements, and mandatory corporate disclosures with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC).
- SPV & JV Management: Manage the legal secretarial lifecycles of multiple project-specific Special Purpose Vehicles (SPVs) and joint venture entities.
- Fundraising Coordination: Prepare legal documentation for project financing, private equity infusions, debenture issuances, and structural loan charges.
- RERA & Legal Alignment: Sync corporate structure changes, share transfers, and equity modifications with the real estate regulatory compliance team.
- Shareholder Relations: Maintain statutory registers, manage equity transfers,
and oversee investor compliance requirements.
Candidate Requirements
- Education: Qualified Company Secretary and a valid member of the Institute of Company Secretaries of India (ICSI). A degree in Law (LL.B.) is highly preferred.
- Experience: Atleast 5 years of post-qualification experience, ideally within a real estate development firm or a large infrastructure company.
- Skills: Expert knowledge of the Companies Act, corporate secretarial software, structural fundraising processes, and ROC filing portals.
