Responsibilities

Gnani.ai is looking for a business-first Corporate Counsel to partner closely with leadership, sales, product, and HR teams. This role will own legal strategy across commercial contracts, compliance, data

privacy, and corporate governance, while enabling quick, scalable growth in a high-velocity AI environment.

1. Commercial & Enterprise Contracts

- Draft, review, and negotiate:

o Commercial agreements

o Enterprise MSA / SOWs

o NDAs, vendor agreements, partnership contracts

- Partner with sales to close deals faster while managing risk
- Build scalable contract templates and playbooks

2. Data Privacy & AI Compliance

- Ensure compliance with:

o GDPR/ Other international laws

o DPDP Act

o Other global data protection frameworks

- Advise on AI/ML governance, voice data usage, consent frameworks
- Work with product teams on privacy-by-design

3. Regulatory & Corporate Governance

- Manage corporate filings, board matters, and governance processes
- Ensure compliance with Indian and international laws as applicable
- Support fundraising, due diligence, and investor documentation

Risk Management & Advisory

Identify legal risks in business initiatives and propose practical solutions
- Support dispute resolution and manage external counsel when needed
- Develop internal policies (code of conduct, anti-bribery, etc.)

5. Cross-Functional Enablement

- Partner with:

o Sales deal structuring

o Product AI compliance & licensing

o HR employment law, ESOPs

- Conduct training sessions on contracts, compliance, and data privacy

Key Requirements

- 5–7 years of experience (law firm + in-house preferred)
- Strong experience in technology / SaaS / AI companies
- Deep expertise in:

o Commercial contracts o Data privacy and compliance

- Familiarity with AI/ML, voice tech, or deep tech regulations is a plus
- Strong negotiation and stakeholder management skills
- Ability to balance legal risk with business velocity
