Contract
Manager – Commercial based in Bangalore, India who will be responsible for facilitating contracting including active contract review, analysis, redlining, and negotiation of commercial and revenue deals. This role specifically supports commercial distribution activities under the regional lead and is a mandatory Bangalore-based placement to ensure stakeholder proximity. Training and onboarding will be provided locally.
It will be key for this individual to manage collaboration across multiple locations with cross-functional stakeholders, including Legal, Global Process Owners, and other key cross-functional teams. It will also be key for this individual to manage and handle escalations in the contracting process.
Major Responsibilities and Accountabilities:
- Lead contract facilitation process for commercial and revenue contracts including MSAs, SOWs, NDAs, and amendments
- Serve as primary escalation point for approximately 5 Sourcing Excellence ("SE") contract facilitators for template questions, redlines to contract terms, and other process items
- Oversee the facilitation of upward of 20+ contracts at any given time
- Manage end-to-end contract lifecycle for commercial and revenue deals
- Support contract executions in a timely method with appropriate legal oversight to ensure compliance with company standards and contracting playbooks
- Coordinate redlines and negotiation strategies with Legal, Sourcing, and other stakeholders as well as suppliers
- Negotiate business terms and collaborate, coordinate, and explain risks and implications of contract terms to the business and other stakeholders
- Complete gap analysis, review, redline, and understand contract language, risks, and implications of such language
- Defend legal terms on standard internal templates, agreements, and third-party paper where necessary
- Flag and escalate deviations and risks for timely resolution
- Maintain accurate records in iCertis, Ariba, and Procure@BMS
- Collaborate with cross-functional teams to ensure excellence in contract management
- Identify points of escalation for Sourcing Excellence ("SE") to interface with Legal and other relevant stakeholders (e.g., Compliance, Audit) regarding contracting and Procurement policy and related operational questions
- Support continuous contracting capability within Procurement
- Interact with Internal/External Stakeholders across multiple global locations
Minimum Requirements
- B.S./B.A. or equivalent degree; Law degree or paralegal background strongly preferred
- 2+ years of experience in commercial or revenue contracting, including drafting, reviewing, and negotiating commercial contracts
- Legal training/qualification/experience could be a differentiator
- Internal stakeholder management, data/information management, project management, and performance measurement skills
- Procurement process knowledge including contract management, financial analysis, market analysis, supplier analysis, and supplier management
- Proactive, accountable, and solutions-oriented professional
- Effective communicator in explaining legal risks and their implications to both experts and laypersons
- Proficient in Microsoft Office applications and collaboration tools such as Microsoft Teams
- Strong English communication skills, both written and verbal
- Understanding of urgency and ability to maintain high performance under tight timelines
- Demonstrates ability to ask the right questions and use sound business judgement
- Ability to deal effectively with ambiguity and thrive in a fast-moving environment
- Excellent organizational and multi-tasking skills with attention to detail
