Role & responsibilities
Designing and Enforcing Internal Control Systems
- Build a compliance matrix: Map out every local, national, and industry-specific regulation the company must follow.
- Deploy tracking software: Implement automated compliance management tools to ensure no filing deadlines are missed.
- Establish reporting lines: Create a direct, uninterrupted reporting channel from the compliance function to the Audit Committee or Board.
2. Safeguarding Price-Sensitive Information & Insider Conduct
- Define sensitive data: Create explicit internal frameworks to identify and protect Material Non-Public Information (MNPI).
- Create a "Restricted List": Quietly maintain a list of securities or internal projects that employees are prohibited from discussing or trading against.
- Monitor employee trading: Implement a voluntary pre-clearance policy for share trades by key executives and their relatives.
3. Overseeing Legal, Ethical, and Whistleblower Policies
- Draft the Code of Conduct: Write and implement a universal corporate code of ethics for all employees and directors.
- Manage the Whistleblower mechanism: Act as the independent, confidential recipient for internal grievances and fraud reporting.
- Enforce anti-bribery policies:
Establish strict monitoring systems for anti-corruption, anti-money laundering, and gift policies.
4. Managing Regulatory Inspections and Audits
- Act as the single point of contact: Serve as the official liaison for all regulatory bodies, tax authorities, and registry officials.
- Conduct internal health checks: Routinely audit internal departments to verify they are adhering to environmental, labor, and data privacy laws.
- Respond to notices: Draft, review, and manage formal responses to any legal show-cause notices or regulatory inquiries.
5. Institutionalizing Disclosure and Materiality Standards
- Test materiality thresholds: Help the executive team practice identifying which corporate events (e.g., major lawsuits, lost contracts) are "material" and require immediate board escalation.
- Review external communications: Screen press releases, public statements, and marketing decks to ensure they do not leak sensitive corporate data or make non-compliant promises.
Preferred candidate profile
Age: Above 35 Years
Qualification: Practicing Company Secretary
Experience: Atleast 5 years of experience in a Large Private Limited or Public Limited Company
