Role Summary The Company Secretary (CS) is a critical statutory position responsible for ensuring the organization complies with all relevant corporate laws and regulations. This role involves high-level interaction with the Board of Directors and oversight of compliance for various subsidiary companies.
Key Responsibilities
- Board & Committee Management: Handle all matters related to Board and Committee meetings, including drafting notices, agendas, and minutes.
- Compliance & Filing: Manage Registrar of Companies (ROC) filings and ensure all statutory registers are accurately maintained.
- Subsidiary Oversight: Coordinate with secretarial and audit teams across various subsidiaries to ensure group-wide alignment.
- Audits: Liaison with internal and external secretarial auditors for annual audits.
- Shareholder Relations: Address shareholder grievances,
manage KYC updates, handle unclaimed dividends, and oversee regulatory platforms for investor complaints.
- Digital Compliance: Regularly monitor and update the corporate website to ensure it meets legal and listing regulation requirements.
- Related Party Records: Maintain and update comprehensive "Related Party" lists on a monthly basis.
Skills & Qualifications
- Education: Must be a Qualified Company Secretary (member of the national qualified body).
- Experience: 2 to3 years of experience, preferably within a listed entity.
- Technical Skills: Deep knowledge of Corporate Law and SEBI regulations.
- Soft Skills: Exceptional attention to detail and strong communication skills.
