Role Description The Company Secretary will oversee corporate governance, statutory compliance, and secretarial functions to ensure the LLP operates in line with legal and regulatory requirements. Day-to-day responsibilities include preparing and maintaining statutory registers and records, drafting agendas, notices, and minutes for board and partner meetings, and coordinating filings with relevant regulatory authorities and the Registrar of Companies.
The role will involve advising management on compliance with LLP laws, corporate regulations, and applicable industry standards, as well as supporting audits, due diligence, and policy documentation.
The Company
Secretary will collaborate with finance, legal, and operations teams to manage contracts, support risk management, and implement best practices in governance and documentation. This is a full-time, hybrid role based in Bengaluru, with a mix of on-site work at the manufacturing and corporate offices and some work-from-home flexibility.
Qualifications
- Skilled Company Secretary qualification (CS) from a recognized institute, with sound knowledge of corporate, LLP, and securities laws.
- Experience in corporate governance, compliance management, and drafting board/partner meeting agendas, notices, and minutes.
- Skills in maintaining statutory registers and records, managing ROC and other regulatory filings, and ensuring timely adherence to legal requirements.
- Ability to review and support contracts, policies, and internal controls in coordination with legal and finance teams.
- Strong analytical, documentation, and research skills for interpreting regulations and advising management on compliance and risk mitigation.
- Effective communication and interpersonal skills to work with senior leadership, external advisors, auditors, and regulatory bodies.
- Proficiency in office productivity tools and secretarial software for document management and compliance tracking.
- Prior experience in manufacturing or industrial sectors is an advantage; familiarity with export-related compliance is beneficial.
