Summary:
A Company Secretary (CS) ensures regulatory compliance, manages corporate governance, and handles filings (ROC, MCA) for various clients. Key responsibilities include drafting minutes, managing statutory records, and conducting audits. Requires CS qualification, strong knowledge of the Companies Act 2013, and excellent drafting skills.
Key Roles & Responsibilities:
- ROC Compliance: Handle all routine ROC compliance under the Companies Act 2013, including e-filing forms (MGT-7, AOC-4, etc.) for client companies.
- Corporate Secretarial Services: Prepare agenda, notices, minutes, and resolutions for board meetings, committee meetings and AGMs.
- Statutory Records: Maintain and update statutory registers, books, and records for clients.
- Corporate Restructuring: Assist in company incorporation, closures, share transfers, and mergers & acquisitions (M&A;).
- Regulatory Liaison: Act as a liaison with regulatory authorities such as ROC, RD, and NCLT.
- Compliance Audit: Conduct secretarial audits,
due diligence, and advise clients on governance best practices.
Requirements:
- Member of the Institute of Company Secretaries of India (ICSI).
- 2 years of experience in a CS firm or corporate secretarial department.
- In-depth knowledge of the Companies Act, 2013, and SEBI regulations.
- Proficiency in MS Office and MCA portal filing.
- Excellent communication and drafting skills.
