Summary

Lead the organization's Legal & Compliance function by safeguarding its legal, regulatory, and commercial interests through effective contract management, litigation, statutory compliance, corporate governance, and risk management across transportation, warehousing, and supply chain operations, while enabling compliant and sustainable business growth.

Experience

- 10-12 years of post-qualification experience.
- Minimum 5 years in leadership roles within Logistics, 3PL, Supply Chain, Warehousing, Transportation, Manufacturing, FMCG, or E-commerce.
- Proven experience in handling high-value commercial contracts, litigation, compliance, and legal advisory.

Key Responsibilities
Strategic Legal Responsibilities

- Drive legal governance and compliance initiatives across all business verticals.
- Partner with business leadership on strategic commercial decisions and risk management.
- Develop legal frameworks that enable business growth while safeguarding organizational interests.
- Lead legal due diligence for recent business opportunities, acquisitions, strategic partnerships, and expansion projects.
- Establish a robust compliance monitoring and reporting framework across all locations.

Commercial & Contract Management

- Lead drafting, review, commercial contract negotiation, and execution of high-value customer, vendor, transport, warehousing, lease, technology, procurement, outsourcing, and service agreements.
- Standardize legal templates, contract governance, and approval workflows.
- Review RFPs, RFQs, bid documents, and customer contractual obligations before commercial commitments.
- Ensure contractual risks are identified, quantified, and mitigated.

Litigation & Dispute Resolution

- Develop litigation strategy in consultation with internal and external stakeholders.
- Manage civil, commercial, labour, consumer, arbitration,



and recovery matters.
- Coordinate with external law firms and senior counsels.
- Drive alternate dispute resolution (ADR), mediation, and settlement mechanisms to minimize litigation costs.
- Monitor litigation exposure and provide periodic reports to senior management.

Compliance & Regulatory Affairs

- Ensure organization-wide compliance with applicable laws and regulations.
- Oversee statutory licenses, registrations, renewals, and regulatory filings.
- Lead compliance audits and corrective action plans.
- Lead enterprise legal risk assessments and review insurance policies, claims, indemnities, guarantees, and liability clauses.
- Support Management Committees on governance matters and corporate compliance.

Corporate Governance, Employment & Labour Law

- Develop and implement legal and compliance policies, delegation of authority, and governance standards.
- Advise HR on employment contracts, disciplinary actions, domestic enquiries, employee transfers, wage and labour law compliance, POSH, industrial disputes, and restructuring initiatives.
- Ensure legal compliance across warehouses, transport operations, and branch offices.

Business Partnership & Leadership

- Act as a trusted legal advisor to Operations, Sales, Finance, Procurement, IT, HR, Projects, and Supply Chain teams to provide commercially practical legal solutions aligned with business objectives.
- Support strategic customer negotiations and key commercial transactions.
- Build and mentor a high-performing Legal & Compliance team and develop legal awareness programs across the organization.
- Drive digitalization of legal documentation, contract lifecycle management, and compliance tracking systems.

Qualifications

- LLB. (Mandatory)
- LLM. and/or Company Secretary qualification preferred.
- Certification in Corporate Laws, Compliance, or Risk Management will be an added advantage.
