Job Title: Practising Company Secretary (PCS)
Location: Netaji Subhash Place, Delhi

About the Role
India IPO is seeking a detail-oriented and proactive Practising Company Secretary (PCS) to manage corporate compliance, IPO-related secretarial activities, regulatory filings, and corporate governance. The ideal candidate should have strong knowledge of the Companies Act, SEBI regulations, and capital market compliances, with the ability to independently handle secretarial assignments for clients.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws.
- Handle incorporation of companies, LLPs, and related ROC compliances.
- Prepare and file statutory forms with the MCA portal.
- Draft notices, agendas, board resolutions, minutes, and shareholder resolutions.
- Conduct and assist in Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Maintain statutory registers and corporate records.
- Conduct Secretarial Audits and Compliance Audits.
- Manage due diligence and legal documentation for IPOs and corporate transactions.
- Assist in SME IPO and Mainboard IPO assignments.
- Coordinate with merchant bankers, legal advisors, auditors, registrars, stock exchanges, and regulatory authorities.
- Prepare and review DRHP, RHP, listing applications, and other IPO-related documentation.
- Ensure timely filing of annual returns, financial statements, and event-based compliances.
- Advise management and clients on corporate governance and regulatory compliance.
- Track changes in corporate laws and ensure implementation of new regulatory requirements.
Required Skills
- Strong knowledge of the Companies Act, 2013.
- Good understanding of SEBI (ICDR), LODR, PIT Regulations, and FEMA.
- Experience with the MCA V3 Portal and ROC filings.
- Knowledge of SME IPO and Mainboard IPO processes.
- Excellent drafting skills for resolutions, minutes, and legal documents.
- Strong analytical, organizational, and communication skills.
- Ability to manage multiple assignments within deadlines.
- Proficiency in MS Excel, Word, and PowerPoint.
Qualifications
- Qualified Company Secretary (ICSI Member).
- Certificate of Practice (COP) preferred (or eligible, depending on the role).
- LLB or additional legal qualifications will be an added advantage.
Experience
- 2 to 6 years of relevant experience in corporate secretarial practice, IPO advisory, or compliance.
- Experience in handling SME IPOs, listed companies, or secretarial audits is preferred.
Preferred Candidate Profile
- Hands-on experience in ROC filings and corporate compliances.
- Exposure to IPO documentation and capital market transactions.
- Strong client management and stakeholder coordination skills.
- High attention to detail with a proactive approach to problem-solving.
