About the Opportunity
Our client, a Start up - lending NBFC backed by an international financial group, is strengthening its statutory Board as part of a planned India expansion. The company is appointing a whole-time, operational Director to own regulatory compliance and corporate governance and to serve as a primary point of contact with the Reserve Bank of India. This is a hands-on leadership role — the person must be deeply involved in the business and fully understand the company's operations, structure, and compliance framework — not an independent or non-executive board seat.
Key Responsibilities
- Lead all RBI and regulatory compliance matters for the NBFC end to end.
- Represent the company during RBI meetings, inspections, and regulatory interactions.
- Oversee corporate governance, board compliance, and statutory obligations.
- Ensure ongoing compliance with the Companies Act, RBI guidelines, and the internal governance framework.
- Advise the CEO, Country Manager, and Board on regulatory and legal risks.
- Work closely with senior leadership and external regulators to uphold the company's regulatory standing.
Ideal Candidate
- Senior Compliance Head, Chief Compliance Officer, or Compliance Director from an RBI-regulated NBFC or Bank.
- Strong command of RBI regulations, corporate governance, and board matters.
- Direct prior interaction with the RBI is highly preferred.
- Legal / Compliance background strongly preferred.
Director Eligibility (Fit & Proper Criteria)
The candidate must:
- Not be disqualified under Section 164 of the Companies Act, 2013.
- Be willing and able to obtain and maintain a valid Director Identification Number (DIN).
- Hold at least a graduate-level qualification with relevant professional experience in business, financial services, or governance.
- Have relevant experience of having worked in a Bank or an NBFC.
- Be between 35 and 70 years of age.
The candidate must not:
- Have any conviction involving moral turpitude, fraud, dishonesty, financial impropriety, or serious economic misconduct.
- Be subject to unresolved or material adverse proceedings by the RBI, SEBI, IRDAI, MCA, tax authorities, or other regulators.
- Have been associated with entities prosecuted, sanctioned, or investigated for reliable legal or regulatory violations relevant to this appointment.
- Hold directorships in more than two NBFCs simultaneously, or sit on the board of more than three NBFCs in the relevant regulated layers at the same time.
The candidate should preferably:
- Not be a wilful defaulter, insolvent, or subject to bankruptcy-type disability.
- Have no history of reliable credit delinquency, fraudulent conduct, or market misconduct.
- Be able to withstand reputational and supervisory scrutiny from the RBI and other authorities, and act independently in the interest of the NBFC with no material conflict of interest.
