Job Purpose

- Lead the company's India Legal Team, securing the proper assessment of the legal risks and finding solutions to minimize them in a business-oriented way, as well as to conduct the Fair Trade/Competition Law projects. Support Compliance initiatives and responsibilities, keeping the high standards aligned with APAC.

Key Responsibilities

Legal Advisory & Risk Management

- Provide expert advice to internal and external stakeholders to facilitate the management and resolution of a diverse range of legal, regulatory, security, compliance matters which impact the organization's capacity to achieve its strategic goals.
- Advise management on legal risks related to business operations and strategic decisions, providing practical, business-oriented legal solutions that support organizational objectives while minimizing legal exposure.
- Handle litigation, disputes, notices, investigations, and regulatory matters.

Compliance, Ethics & Governance

- Lead Compliance Initiatives (e.g. Manage Hotline, training and communication when requested) in order to guarantee the maintenance of the Global Compliance Program.
- Support the APAC Regional Compliance Officer for company's plant in India with all applicable laws as in with factory laws, labour laws, environmental regulations, and industrial statutes.
- Oversee ethics, compliance, investigations, and corporate governance matters.
- Support implementation and monitoring of compliance tools for third-party screening and fair competition law compliance.
- Ensure alignment of local legal and compliance practices with regional and global governance standards.

Fair Trade & Competition Law

- Conduct Fair Trade Projects, securing the hiring of a specialized law firm in alignment with Corporate Legal, collecting all the data required from the other departments in order to build a strong defense to avoid extra cost to the Company.
- Support and oversee the utilization of internal tools and processes designed to ensure compliance with fair competition regulations and third-party due diligence requirements.
- Coordinate with specialized external counsel on competition law matters and regulatory reviews as required.

Corporate Secretarial & Board Governance

- To handle all compliances pertaining to Reserve Bank of India and filing of quarterly/ half yearly/ annual reports, filings with the Reserve Bank of India.
- Manage the requirements of External Commercial Borrowings (ECB's)



as required and file necessary reports with the Authorities.
- Assist in the work connected with availing various incentives from the state/ central Government.
- Coordinate with regulatory authorities, government agencies, and external legal advisors in coordination with the APAC Regional Compliance Officer whenever such engagement is required.
- Manage statutory approvals, licenses, permits, and regulatory filings required for business operations.
- Support matters relating to government incentives, regulatory audits, and compliance inspections.

Contract Management & Commercial Support

- Review, negotiate, and provide legal support on contracts with suppliers, customers, contractors, and service providers in alignment with the LAR Legal Team and Legal VP.
- Support business teams by providing legal guidance on commercial transactions and contractual obligations.

Industrial Relations & Employment Law

- Support industrial relations and labor law compliance.
- Provide legal support on employment-related matters, workforce issues, disciplinary actions, and labor disputes.
- Partner with HR and business leadership to ensure compliance with applicable employment legislation.

Property, Land & Statutory Approvals

- Manage land, property, licenses, permits, statutory approvals, and related legal documentation.
- Support legal due diligence and risk assessment relating to the manufacturing site and operational infrastructure.

Stakeholder Management

- Cascade important information to the India team, ensuring they have enough information to perform their expected activities and deliverables.
- Coordinate with external legal counsels, regulators, government authorities, and industry bodies as required.
- Act as a trusted legal partner to business leaders, plant leadership, regional stakeholders, and global legal teams.
- Maintain effective working relationships across local, regional, and global functions to facilitate informed decision-making and risk mitigation.

Legal Operations, Systems & Continuous Improvement

- Lead initiatives at India factory to implement corporate driven initiatives (e.g. LGPD, Corporate Secretary, NetLex, Docusign, contract automation, Legal website),



through processes/systems, making sure they are user friendly and effective for the internal clients and the stakeholders.
- Drive digitalization and process improvement initiatives within the legal function.
- Support implementation of legal technology platforms, contract management systems, compliance tools, and governance frameworks.

Financial Planning & Budget Management

- Responsible for the legal Budget, analyzing the ZBB (Zero Based Budgeting) report every month and providing the justifications as well as to participate on meetings when necessary in order to keep the costs according to the plan.
- Help the responsible person for analyzing the Legal Global Profit Plan in order to have accurate information and decision making.
- Monitor legal spend and ensure effective utilization of legal resources while maintaining alignment with business objectives and budget expectations.

Education

- Bachelor's degree in law (LL.B.) from a recognized university & Qualified Company Secretary

Past Experience

- Candidates with approximately 10+ years of experience working with multinational manufacturing organizations.
- Strong in-house legal and company secretarial experience.
- Demonstrated experience handling compliance, litigation management, labor laws, factory laws, regulatory affairs, and board governance.
- Ability to operate effectively within a matrix reporting structure while managing multiple stakeholders across local, regional, and global functions.
- Excellent verbal and written communication skills in English and Hindi; proficiency in Marathi would be advantageous
