Position Overview: We are seeking a skilled and detail-oriented Manager for our M&A; team. This role is critical in managing and optimizing contract processes related to mergers and acquisitions, ensuring compliance, and supporting the strategic growth of our company through effective contract management and proposal submissions. The candidate will also oversee corporate tax compliance, engage in tax and M&A; restructuring mandates, and ensure statutory and legal adherence.
Key Responsibilities:
Opportunity Identification and Deal Cycle Management:
- Assist in identifying and assessing M&A; opportunities, evaluating strategic fit, and managing the deal cycle.
- Optimize search mechanisms for identifying acquisition targets using various auction platforms and media.
Contract Management:
- Prepare and submit Request for Proposals (RFPs) and other tender documents in coordination with legal and corporate teams.
- Ensure all contracts comply with company policies and procedures, implementing best practices in contract management both pre and post-transaction.
Corporate Tax and Compliance:
- Adhere to corporate tax compliance requirements as per statutory regulations, including assessments and filing of returns.
- Engage in corporate tax, M&A; tax, and restructuring mandates for the Group.
- Finalize books of account, ensuring accuracy and adherence to statutory compliance.
Tax Due Diligence and Coaching:
- Conduct tax due diligence as part of the M&A; process and provide insights into tax implications.
NCLT Case Management:
- Leverage experience with NCLT cases to handle related transactions and compliance issues effectively.
- Assist in navigating the complexities of NCLT proceedings and integrating insights into M&A; strategies.
Proposal and Bid Evaluation:
- Facilitate the evaluation of proposals and bids, ensuring accurate and timely submissions.
Candidate Profile:
- Chartered Accountant (CA) with a minimum of 5-7 years of experience in M&A; and corporate tax, including handling transactions, compliance, and documentation.
- Proven experience with NCLT cases, including handling related legal and financial matters.
- Strong knowledge of corporate tax, M&A; tax, and experience in tax due diligence.
- Excellent organizational, people, and client management skills, with the ability to interact effectively with all levels across the organization.
- Strong communication skills and a commitment to accuracy and adherence to legal and statutory requirements.
