Role: Company Secretary and Head of Legal
Reporting To: Managing Director & Board of Directors
Location: Gurgaon or Manesar with regular travel to manufacturing facilities in Manesar and Bhiwadi

Role Purpose
We are seeking a seasoned, strategic, and compliance-oriented professional to join as Company Secretary cum Head of Legal. The incumbent will be a key member of the leadership team, responsible for ensuring full statutory, regulatory, and corporate governance compliance as per the Companies Act, SEBI (LODR) Regulations, and all other applicable laws. The role combines high-level secretarial responsibilities, regulatory compliance oversight, and leadership of the legal function to safeguard the company’s interests, support business objectives, and enable effective governance in a fast-paced manufacturing setting.
Key Responsibilities
1. Company Secretarial Functions
- Act as the Company Secretary of the Public Limited Company and ensure full compliance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and other applicable statutes.
- Manage all Board and Committee meetings (Audit, Nomination & Remuneration, Stakeholders Relationship, CSR, etc.) including preparation of agendas, notices, minutes, and follow-up on action items.
- Ensure timely filing of all statutory returns, forms, and disclosures with ROC, SEBI, Stock Exchanges, and other regulatory authorities.
- Oversee preparation and filing of Annual Reports, Annual General Meetings (AGM), postal ballots, and other shareholder communications.
- Maintain statutory registers, records, and ensure proper governance documentation.
- Handle corporate restructuring, mergers, acquisitions, demergers, or any corporate actions as required.
- Coordinate with Registrar & Transfer Agents (RTA) for share-related matters, dividend processing, and investor grievances.
2. Regulatory Compliance
- Lead the overall regulatory compliance program across the organization, ensuring adherence to all applicable laws including environmental regulations (PCB, pollution control), labour & industrial laws, factory laws, health & safety standards, Customs, FEMA, and sector-specific automotive regulations (ARAI, AIS standards, etc.).
- Design, implement, and monitor a robust compliance management framework, including compliance calendars, checklists, SOPs, and internal controls.
- Conduct regular compliance audits, risk assessments, and gap analyses; proactively identify and mitigate regulatory risks.
- Ensure timely submission of all regulatory filings, returns, certificates, and reports to relevant authorities (Central/State Government departments, pollution boards, labour authorities, etc.).
- Monitor changes in regulatory landscape and advise the MD, Board, and functional heads on impact and required actions.
- Oversee compliance with ESG and sustainability reporting requirements as applicable to listed entities.
- Support plant operations in Manesar and Bhiwadi on all regulatory and statutory compliances.
3. Legal Function Leadership
- Provide strategic legal advice to the MD, Board, and Senior Management on all business matters including contracts, commercial transactions, manufacturing operations, IP protection, and regulatory issues.
- Lead and manage litigation strategy (civil, criminal, arbitration, labour, and regulatory) across various forums including all matters, legal or pre-legal with customers & suppliers to protect the company’s interests.
- Draft, review,
and negotiate high-value commercial contracts, vendor agreements, customer contracts, technology licensing agreements, and international trade-related documents.
- Handle intellectual property matters, trademarks, patents, and confidentiality agreements.
- Advise on labour and industrial laws, factory laws, and employee-related compliances across manufacturing plants.
4. Team Leadership & Governance
- Lead a team of 4 professionals handling secretarial, legal, and compliance functions; mentor, develop, and build capability within the team.
- Establish and strengthen internal controls, policies, and SOPs for secretarial, legal, and compliance processes.
- Support the Board on governance best practices, risk management, and ESG-related compliances.
- Act as a key interface with external legal counsels, auditors, merchant bankers, and regulatory authorities.
5. Other Responsibilities
- Support business expansion, new projects, plant operations, and foreign collaborations from a legal, secretarial, and regulatory perspective.
- Handle investor relations and secretarial aspects of analyst meets, press releases, and corporate announcements.
- Any other responsibilities assigned by the MD or the Board from time to time.
Candidate Profile
Experience:
- Total experience of 10–15 years in Company Secretarial, Legal, and Regulatory Compliance functions.
- Minimum 3+ years in a similar role (Company Secretary / Head of Secretarial & Legal / Compliance) in a listed company (preferably in manufacturing / automotive / engineering sector).
- Prior experience in a Tier-1 or large manufacturing organization is highly preferred.
- Membership of the Institute of Company Secretaries of India (ICSI) – ACS / FCS is mandatory.
Education:
- Qualified Company Secretary (ACS/FCS).
- LLB / BL degree from a recognized university (additional LLM or specialized certification in Compliance / Corporate Laws will be an advantage).
