Job Summary

We are looking for an experienced Company Secretary & Legal Counsel to oversee corporate governance, statutory compliance, and legal advisory functions. The ideal candidate will ensure compliance with applicable corporate laws and regulatory frameworks while providing strategic legal guidance to senior leadership.

Key Responsibilities

Company Secretarial
Ensure compliance with the Companies Act, 2013, SEBI regulations, and applicable governance standards.
Conduct and manage Board Meetings, AGM, and Committee Meetings, including drafting agendas, notices, and minutes.
Maintain statutory registers, records, MCA/ROC filings, and corporate documentation.
Draft and review board resolutions, shareholder agreements, and corporate disclosures.
Liaise with ROC, SEBI, Stock Exchanges, Depositories (NSDL/CDSL), and other regulatory authorities.

Legal & Regulatory Compliance
Ensure compliance with SEBI, NSE, BSE, MCX, NCDEX, FIU-IND, and PMLA regulations.
Draft, review, and negotiate contracts, NDAs, client agreements, and vendor agreements.
Handle regulatory inspections, audits, and responses to statutory notices.
Provide legal advisory for stock broking, commodity, and bullion trading operations.
Support dispute resolution, arbitration,



and legal proceedings.
Advise management on risk management and evolving regulatory requirements.

Strategic Responsibilities
Advise leadership on corporate restructuring, mergers & acquisitions, and recent business initiatives.
Monitor regulatory changes and ensure timely implementation.
Coordinate with legal, compliance, finance, and business teams to strengthen governance practices.
Work closely with external consultants for statutory and legal compliance.

Required Qualifications
Company Secretary (ICSI Qualified) Mandatory.
LLB/LLM preferred.
Robust knowledge of Corporate Laws, Companies Act, SEBI Regulations, and Exchange Compliance.
Positive understanding of commodity trading, bullion, stock broking, and clearing & settlement.
Excellent drafting, negotiation, communication, and stakeholder management skills.

Experience
5–10 years of relevant experience.
Experience in Commodity Trading, Bullion, Stock Broking, Capital Markets, or BFSI.
Hands-on exposure to SEBI compliance, legal advisory, and corporate governance.
Experience in handling high-value contracts, arbitration, and regulatory compliance is preferred.
