Position: Company Secretary (CS)

Key Responsibilities
Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
Prepare agendas, notices, resolutions, and minutes of meetings.
Maintain statutory registers, records, and corporate documents.
File statutory returns, forms, and reports with the Registrar of Companies (ROC) and other regulatory authorities within prescribed timelines.
Advise management on corporate governance, legal compliance, and secretarial matters.
Coordinate with auditors, legal advisors, regulatory authorities, and government departments.




Ensure timely renewal and maintenance of statutory licenses and registrations.
Support due diligence, mergers, acquisitions, fundraising, and other corporate transactions as required.
Draft and review corporate policies, agreements, and governance documents.
Monitor changes in corporate laws and recommend necessary compliance actions.
Handle investor and shareholder communications, where applicable.

Qualifications
Qualified Company Secretary (Member of the Institute of Company Secretaries of India ICSI).
LLB or additional legal qualification will be an added advantage.
