Job Description: Job Summary:
The Company Secretary ensures legal and regulatory compliance, manages board meetings, maintains statutory records, and advises the company on positive corporate governance practices. In a manufacturing setup, the role also involves coordination with government bodies, handling industrial compliances, and supporting finance/legal teams in licensing and reporting.
Key Responsibilities: Statutory Compliance & Corporate Governance:
Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable laws.
Maintain statutory registers and records (Minutes Book, Register of Members, etc.).
File necessary forms and returns with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), and other regulatory bodies.
Organize and record Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
Draft board resolutions, notices, and meeting minutes.
Legal, Admin & Secretarial Functions:
Advise the Board and management on legal and compliance matters.
Draft and vet agreements, contracts, and MOUs in coordination with legal counsel.
Maintain compliance with industrial and environmental laws (Factories Act, Labour Laws,
Pollution Control Board, etc.).
Liaisoning & Coordination:
Liaise with government departments, regulatory authorities, and external stakeholders.
Coordinate with auditors, consultants, and legal advisors for compliance matters.
Reporting & Documentation:
Prepare reports for the Board and regulators as needed.
Monitor changes in legislation and regulations relevant to the manufacturing industry and advise management accordingly.
Support in Finance and Licensing (Optional based on structure):
Assist in regulatory filings related to finance (e.g., borrowings, investments, FEMA).
Support with licensing, permits, and renewals related to plant operations.
Qualifications & Skills:
Qualified Company Secretary (ICSI membership required).
3–7 years of relevant experience, preferably in a manufacturing or industrial company.
Robust knowledge of Company Law, SEBI guidelines, and corporate governance practices.
Valuable drafting, communication, and presentation skills.
Ability to work independently and manage multiple compliances and deadlines.
