About the Role

Estabizz Fintech is hiring a Principal Officer – Merchant Banking Category I for one of its clients, a professionally managed Chartered Accountancy firm based in Ahmedabad that is currently applying for SEBI Merchant Banker Category I registration.

We are looking for a mature, detail-oriented skilled capable of independently leading merchant banking assignments and representing the organisation before clients, regulators and market intermediaries, with a balanced approach to business development, compliance, transaction execution and risk management

The candidate will lead the proposed Merchant Banking division with a focus on Main Board IPOs, SME IPOs, issue management, due diligence, offer document preparation, regulatory coordination and transaction execution.

Key Responsibilities

· Lead end-to-end Main Board IPO and SME IPO assignments, including client onboarding, IPO readiness, transaction planning, due diligence, regulatory filings and listing coordination.

- Review and supervise DRHP, RHP, Prospectus, offer documents, financial/litigation disclosures, risk factors and other IPO documentation.
- Coordinate with SEBI, NSE, BSE, ROC, depositories, registrars, bankers, legal counsel, auditors and other intermediaries.
- Supervise legal, financial, secretarial, business and management due diligence and ensure accurate, adequate and compliant disclosures.
- Handle SEBI/Stock Exchange observations, regulatory correspondence and timely submissions.
- Develop internal SOPs, checklists, documentation standards,



due diligence processes and compliance systems.
- Advise clients on IPO structure, listing route, capital structure, valuation, promoter dilution, pre-IPO restructuring and transaction planning.
- Lead, mentor and supervise analysts, associates, documentation and transaction teams.
- Ensure strong governance, confidentiality, conflict management, regulatory compliance and timely execution.

Required Experience & Knowledge

· Strong practical experience in merchant banking, investment banking, IPO advisory, capital markets, corporate finance, or securities law.

- Prior experience in Main Board IPO and/or SME IPO is highly preferred.
- Strong working knowledge of:
- SEBI ICDR & Merchant Banker Regulations
- SEBI LODR Regulations
- Companies Act, 2013
- NSE/BSE Listing Requirements
- Due diligence and disclosure standards
- Corporate governance and pre-IPO advisory
- Capital market documentation and regulatory filings
