Responsibilities
- Securing Legal and Statutory Compliance: Act as the primary gatekeeper for absolute compliance under the Companies Act, 2013, SEBI (LODR) Regulations, and other allied mercantile laws. The CS minimizes regulatory friction and eliminates the risk of corporate default, administrative penalties, or institutional litigations
- Facilitating Corporate Governance & Board Management: Provide strategic and flawless administrative support to the Board of Directors, ensuring that all board meetings, committee discussions, and shareholder general meetings (AGM/EGMs) are run transparently, documented accurately, and executed in line with established secretarial standards
- Enforcing Insider Trading & Market Conduct Policies: Ensure strict governance over the Code of Internal Procedures and Conduct for Regulating,
Monitoring and Reporting of Trading by InsidersThe CS is responsible for monitoring employee trading thresholds, managing the closure of trading windows, and ensuring that no Unpublished Price Sensitive Information (UPSI) is leaked to the market
- Bridging Executive Leadership & External Authorities: Serve as the designated Key Managerial Personnel (KMP) and official liaison between Adani Power’s Board and external authorities, including the Registrar of Companies (RoC), stock exchanges (BSE & NSE), the Ministry of Corporate Affairs, and institutional investors
