Role Overview The Senior Consultant – Transaction Advisory independently leads the structuring, financial modelling, and execution of transactions for government and public-sector clients — spanning public–private partnerships (PPPs), asset monetisation, disinvestment, and concession arrangements. The role owns the transaction lifecycle from feasibility and financial modelling through commercial structuring, due diligence, documentation, and financial close, and calls for strong financial and commercial expertise and the confidence to engage senior stakeholders on complex deals.

To Lead the development of investment-grade financial models, business cases, and transaction strategies to support Government investment decisions

Key Responsibilities

- Transaction structuring — Structure PPPs, concessions, asset-monetisation, and disinvestment transactions, defining commercial, financial, and contractual frameworks that balance feasibility, risk, and value.
- Financial modelling — Build and review detailed financial models, project-finance models, and cash-flow forecasts to test viability and inform structuring decisions.
- Valuation & feasibility — Conduct valuations, feasibility studies, and viability assessments, including value-for-money and financial-viability analysis.
- Business case & options analysis — Prepare business cases, options analyses, and transaction advisory notes to support decision-making.




- Business case & investment advisory — Develop investment memoranda, business cases, feasibility studies, and financial advisory reports to support strategic decision-making, project approvals, and transaction execution.
- Due diligence — Coordinate and review financial, commercial, legal, technical, and regulatory due diligence across transactions.
- Transaction documentation — Prepare and review information memoranda, RFQ / RFP documents, concession agreements, and transaction and bid documents.
- Bid process management — Manage the transaction bid process end-to-end — pre-bid interactions, clarifications, evaluation, and award support.
- Commercial & risk analysis — Assess commercial terms, risk allocation, and mitigation across the transaction structure.
- Negotiation & financial close — Support negotiations between parties and drive transactions through to financial close.
- Stakeholder & investor engagement — Engage government stakeholders, investors, lenders, and bidders through the transaction lifecycle.
- Team mentoring — Guide Analysts and Consultants on financial modelling, analysis, and transaction documentation.

Skills & Competencies

- Financial modelling & commercial analysis— Advanced capability in developing integrated financial models, financial forecasting, scenario and sensitivity analysis, and commercial evaluation of complex transactions.
- Investment appraisal & project finance — Strong expertise in project finance, investment appraisal, business valuation, capital structuring, and financial analysis for infrastructure and public sector projects
- Transaction structuring — Expertise in structuring PPPs, concessions, asset monetisation, and disinvestment.




- Due diligence & risk — Skilled in financial and commercial due diligence and risk allocation.
- Transaction documentation — Ability to prepare and review information memoranda, RFQ / RFP, and concession agreements.
- Bid & process management — Ability to run transaction bid processes end-to-end.
- Stakeholder & investor management — Ability to engage senior officials, investors, and lenders.
- Underpinned by commercial judgment, analytical rigour, ownership, and the highest standards of integrity and professional conduct in complex, politically sensitive environments.

Qualifications & Experience

- Education — Bachelor’s degree in Finance, Economics, Commerce, Engineering, or a related discipline.
- Preferred — MBA (Finance), CA, CFA, FRM, or a Master’s in Economics or Infrastructure Management. Candidates who have worked on financial modelling for private firms, government bodies and organisations, or financial institutions will be preferred.
- Experience — 6–10 years of experience in transaction advisory, project finance, infrastructure / PPP advisory, investment banking, or corporate finance, with a track record of structuring and executing transactions with hands-on involvement in financial modelling, transaction structuring, investment appraisal, and financial closure

Tools & Technical Proficiency

- Mandatory: MS Excel (Advanced — financial modelling), financial modelling & valuation (DCF, NPV / IRR, and sensitivity / scenario analysis), PowerPoint (Advanced), Word, and Google Workspace.
- Desired: Financial databases & market-data tools (e.g., Bloomberg, Capital IQ, Refinitiv Eikon, FactSet), financial-modelling add-ins (e.g., Macabacus), Power BI / Tableau, and government data portals.
