- Compliance (Debenture Trustee) | 3+ Years Experience
- As part of the Compliance Team handling the Debenture Trustee vertical, the role involves managing end-to-end compliance, and monitoring of debenture transactions, liasoning with stock exchange, depositories, regulators.

Key Responsibilities
- Strong knowledge of corporate laws including the Companies Act, 2013, Contract Act, and SEBI regulations and circulars issued thereunder.
- Ensuring compliance with SEBI Debenture Trustee Regulations, SARFAESI Act, Insolvency and Bankruptcy Code (IBC), and other applicable laws.
- Creation and perfection of security interests including mortgage, hypothecation, pledge, and charge filings with ROC/CERSAI within regulatory timelines.
- Monitoring charged securities, financial covenants, security cover requirements, and collateral coverage ratios.
- Tracking issuer compliance including maintenance of Debenture Redemption Reserve (DRR), credit ratings, and periodic financial performance reporting.
- Advising corporates on regulatory compliance requirements and debenture issuance procedures.
- Ensuring compliance with Information Memorandum, Prospectus, Trust Deed, and other debenture transaction documents.
- Well-versed with Distributed Ledger Technology (DLT) platforms hosted by NSDL and undertaking due diligence activities.
- Coordinating with stakeholders including issuers, lenders, legal counsels, rating agencies, depositories, and regulators.
- Protecting the interests of investors and lenders throughout the transaction lifecycle.
- Handling compliance aspects of debenture transactions and supporting internal and external audits.
- Monitoring obligations imposed by Credit Rating Agencies, SEBI, stock exchanges, and other regulatory authorities.
- Reviewing and monitoring transaction documents, security creation status, and post-issuance compliances.
- Preparing compliance reports, MIS reports, and regulatory submissions as required.
- Maintaining turnaround time for compliance reviews and stakeholder requests.
- Any other work that may arise in connection with ongoing debenture trustee transactions.
