Purpose/Objective
This role forms part of the proposed specialized M&A; structure within Group Corporate Finance, with dedicated vertical ownership for the Energy business portfolio alongside other sector-focused M&A; teams.
Key Responsibilities of Role
Key Responsibilities 1/ Transaction Origination & Strategy - Identify, evaluate, and originate acquisition, investment, divestment, and strategic partnership opportunities aligned with Group strategy.
- Build relationships with promoters, investment banks, advisors, lenders, private equity sponsors, and strategic counterparties.
- Develop sector intelligence and maintain a pipeline of actionable opportunities across Energy & Utilities businesses. 2/ Business Evaluation & Financial Analysis - Lead commercial assessment, valuation, financial modelling, synergy analysis, and investment case preparation.
- Conduct detailed business reviews including market positioning, competitive landscape, regulatory environment, and operating performance.
- Prepare Investment Committee, Board, and leadership materials to support decision-making. 3/ Deal Execution - Manage due diligence processes in collaboration with Business Units, legal, tax, compliance, and external advisors.
- Drive transaction structuring, valuation negotiations, bid strategy, and financing considerations.
- Lead drafting, negotiation, and finalization of definitive transaction documents including NDAs, term sheets, SPAs, SSAs, SHAs, and other transaction agreements.
- Coordinate all workstreams to ensure timely and successful signing and closing. 4/ Stakeholder Management - Serve as the primary Group Corporate Finance lead for Energy & Utilities M&A; transactions.
- Work closely with CEOs, CFOs, business leadership teams, Group Finance, Legal, Secretarial, Tax, Treasury, ESG, and Risk functions.
- Manage external advisors including investment banks, consulting firms, accountants,
technical experts, and law firms. 5/ Post-Merger Integration - Lead integration planning and execution in partnership with business teams.
- Track synergy realization, value creation initiatives, governance framework implementation, and integration milestones.
- Monitor acquired assets and provide regular updates to Group Management. 6/ Portfolio & Strategic Initiatives - Support strategic reviews, capital allocation decisions, restructuring exercises, joint ventures, carve-outs, and special situations.
- Evaluate inorganic opportunities across emerging sectors relevant to the Energy & Utilities ecosystem. Key Success Metrics - Successful execution of M&A; and strategic transactions.
- Achievement of acquisition value creation and synergy targets.
- Timely deal execution and closure.
- Quality of investment recommendations and transaction outcomes.
- Strong internal and external stakeholder management. Effective integration and realization of strategic objectives

Qualifications and Experience
Education - CA / MBA (Finance) from a premier institution.
- Engineering background preferred. Experience - 15+ years of experience in: - M&A; - Investment Banking - Private Equity - Corporate Development - Strategic Finance - Solid track record of independently leading large cross-border and domestic transactions.
