Position Overview

We are looking for a proactive, solution-oriented Assistant Legal Manager to lead product advisory,

drive financing documentation, ensure marketplace compliance in India, and oversee global contract management (including providing legal support to our US-listed Parent entity).

The ideal candidate is a hands-on manager who balances sharp legal acumen with robust interpersonal leadership. You aren't just a reviewer; you are a collaborative partner who takes extreme ownership,

mentors junior team members (or external partners), and bridges the gap between complex legal requirements and practical business goals.

Key Responsibilities

1. Hands-on Contract Management & Negotiation & Financing Support

• Draft, review, standardize, and negotiate a wide range of commercial contracts, including but not limited to NDAs, SaaS agreements, MSAs, partnership agreements, promissory notes, loan/facility agreements, marketing agreements, MOUs, and undertakings and day to day contracts.
- Support and execute corporate transactions (M&A;, investment, and fundraising) including due diligence, drafting disclosure schedules and such other transaction document as required from time to time.
- Actively lead negotiations, using persuasive communication to align conflicting stakeholders and protect the companys interests.
- Maintain and modernize our contract database, taking a proactive approach to managing renewals, compliance, and process optimization.

1. Strategic Legal Advisory & Cross-Functional Partnership and

• Provide clear, actionable legal advice on corporate governance, compliance,



and risk management to internal teams.
- Translate complex legal jargon into business-friendly insights for senior management regarding upcoming business initiatives and ongoing corporate tasks and drafting the relevant updates to Zoomcars Platform Policy
- Advise on statutory requirements (including local Labor Laws, IT Act, Privacy Laws, and

Motor/Transportation Laws) and support regulatory compliance.
- Collaborate empathetically and effectively with cross-functional teams (Product, Tech, HR,

Operations) to ensure legal frameworks support business growth.
1. Intellectual Property (IP) & Privacy Leadership

• Manage the company’s IP portfolio, including patents and trademarks, review of marketing materials, advertisements etc.
- Oversee IP registration, enforcement, and protection, actively managing relationships and timelines with external counsel to ensure high-quality deliverables.
- Extend legal support on the data mapping exercises, drafting DPAs, carrying out data privacy impact assessment and updating of Privacy Policies and Practices within the Zoomcar

Framework to align with the best privacy practices.
1. Proactive Compliance & Risk Management





• Monitor global legal and regulatory changes, anticipating potential impacts on the business before they become issues.
- Develop and implement practical strategies to mitigate legal risks without bottlenecking business velocity.

- Hands-on Leadership: A collaborative manager who leads by example, is willing to dive deep into the details, and can effectively coach/mentor junior peers or coordinates effectively with

Indian and cross-border stakeholders.
- High Emotional Intelligence (EQ): Excellent active listening and conflict-resolution skills,

crucial for high-stakes contract negotiations and cross-functional alignment.
- Adaptability & Resilience: Ability to thrive in a fast-paced environment, pivot when business needs change, and manage tight deadlines calmly.

Qualifications & Experience
- Education: Bachelor’s degree in law (LL.B.) from a reputed law school. Advanced certifications are a plus.
- Experience: At least 4+ years of legal practice with a proven track record in contracts and corporate advisory.
- Hands-on Autonomy: Demonstrated experience independently reviewing, drafting, and negotiating complex contracts.
- Global Exposure: Prior experience managing cross-border transactions/agreements and a solid understanding of the inner workings of a US-listed entity are highly preferred.
